The independent directors issued unanimous opinions on the appointment of Mr. Zhang Mao as the financial director of the company and Ms. Wang Xia as the secretary of the board of directors.

In addition, Yang Jiuying, the securities affairs representative of the Company, requested the Board of Directors to resign as the securities affairs representative of the Company due to job changes. Li Chao graduated from Nanjing University of Posts and Telecommunications in 1980, majoring in wired communication, and obtained a master's degree in information communication management from Fudan University Norwegian School of Management in 2002. He used to be the deputy chief of the rural telephone department of Jiangsu Post and Telecommunications Administration, the chief staff member, deputy director and director of the introduction office, the deputy director of the Planning and Construction Department, the director of the Operation and Maintenance Department, the deputy director of Jiangsu Post and Telecommunications Administration, the member of the Party Leadership Group, the deputy general manager and member of the Party Leadership Group of Jiangsu Telecom Corporation, and the general manager and secretary of the Party Leadership Group of Jiangsu Communications Co., Ltd. From September 2003 to January 2006, he successively served as the Deputy General Manager and member of the Party Leadership Group of China Netcom Group Southern Communications Co., Ltd., and the Secretary of the Party Committee of China Netcom (Group) Co., Ltd. Shanghai Branch. From January 2006 to November 2008, he served as the General Manager and Deputy Secretary of the Party Committee of China Unicom Yunnan Branch. From November 2008 to January 2010, he served as the head of the preparatory group, general manager and secretary of the Party Committee of China Unicom Yunnan Branch. From January 2010 to March 2013, he served as the General Manager and Secretary of the Party Committee of China Unicom Anhui Branch. Wang Xia, 51, graduated from the Finance Department of Tianjin Nankai University with a bachelor's degree in economics in 1986, and obtained a master's degree in international finance from the Finance Department of Tianjin Nankai University in 1989. He joined China Network Communications Co., Ltd. ("Little Netcom") in 2001, and later joined China Network Communications Group Corporation and China United Network Communications Co., Ltd. with the industry restructuring. He has successively served as the deputy general manager of the finance department and the comprehensive department until now.

Zhang Mao, graduated from the Department of Aeronautical Instrumentation and Electrical Automation of the Air Force Academy of Engineering with a bachelor's degree in instrumentation in July 1990. From 2005 to 2008, he successively served as the business manager of the Finance Department, the deputy manager of the Accounting Department of the Finance Department, and the manager of the Internal Control and Accounting Inspection Department of the Finance Department of China Unicom. From 2009 to 2012, he served as the manager of the Management Accounting Department of the Finance Department of China Unicom. From June 2012 to now, he has been the Deputy General Manager of Finance Department of China Unicom Network Communications Co., Ltd. (from December 2013 to December 2015, he served as the Deputy Mayor of Tongren Municipal People's Government of Guizhou Province).
