This agreement is a valid and binding contract between Beijing Baidu Netcom Technology Co., Ltd. (hereinafter referred to as "Baidu"), the operator of Baidu AI Open Platform (ai.baidu.com, hereinafter referred to as "this platform"), and users (hereinafter referred to as "you"). Baidu provides you with the products and services displayed on the platform (hereinafter referred to as "platform services"), and will constantly update the scope and content of products and services. The latest platform services are subject to those displayed on the relevant product and service introduction pages of the platform and those actually provided to you. After you renew or newly order a product or service, you should comply with the service terms at that time. After the platform launches new products and services, it may update the relevant contents of this agreement.

1、 Special tips

1. You confirm that you have fully read, understood and accepted all the contents of the platform service agreement before using the platform service. You must carefully read and fully understand the contents of each clause, especially the clauses on exemption or limitation of liability, application of law and dispute resolution and other clauses closely related to your rights and obligations. 2. You understand and agree that in order to continuously improve the service level and quality of the platform and improve the use experience, Baidu has the right to revise and upgrade the content of the platform service agreement and corresponding service rules, and publish them in the form of message push, website announcement, etc., and notify you through the website letter, platform announcement, etc. as far as possible; If you do not agree to the modified service agreement after the content of the platform service agreement is announced to be changed, you have the right to immediately stop using the platform service; If you continue to use the platform services, it means that you have fully read, understood and accepted the revised agreement, and will also use the platform services in accordance with the revised agreement.

3. The contents of this agreement also include the relevant agreements, rules of use, confidentiality agreements and other contents on the services provided that Baidu may continue to increase and publish. Once the above content is officially released and announced to you as described in Article 2, it is an integral part of this agreement, and you should also comply with it.

2、 Use this platform service

1. Service introduction

Platform services include voice technology, image technology, character recognition, face and body recognition, natural language processing, data intelligence, deep learning, AR augmented reality, VR virtual reality and other services provided by Baidu (and/or its affiliates and subsidiaries) through the Internet, as well as new types of services developed by Baidu from time to time. Baidu will provide you with specific service forms and contents according to the "status quo". Baidu is a neutral technical service provider. It provides you with all kinds of technical products and services according to the contract. Your website, applications, software, platform and any other products, services and related content are operated by you and bear all responsibilities. In the process of using platform services, you may need to jump to Baidu Intelligent Cloud (cloud. baidu. com), AI Market (aim. baidu. com) and other websites to create applications, subscribe and other operations, such as using Baidu Intelligent Cloud services AI market services, etc., you hereby agree to abide by the corresponding agreement terms of Baidu Smart Cloud User Service Agreement, Baidu Smart Cloud Online Subscription Agreement, AI Market User Service Agreement, etc.

2. Account No

You need to register your Baidu account to use the platform services. This platform uses the Baidu Smart Cloud account system. The registration and use of the account should comply with the requirements of this agreement and the Baidu Smart Cloud User Service Agreement.

3. Statement of Rights

All other rights not expressly authorized to you in this agreement are still reserved by Baidu, and this agreement does not grant you any other rights not expressly authorized. If you use other rights, you need to contact Baidu in time, obtain Baidu's written permission in advance, and sign a written agreement with Baidu. Baidu's failure to exercise any of the above rights does not constitute a waiver of such rights.

4. Termination of Service

Baidu has the right to change, suspend or terminate the platform services or any part thereof (including but not limited to offline, iteration, integration, etc. of the platform services) according to its own business needs and operational arrangements, and Baidu will take necessary measures to notify you to protect your legitimate rights and interests. If you violate laws and regulations or this agreement in the process of using the platform services, Baidu also has the right to change, suspend or terminate your use of the platform services without prior notice, including but not limited to Baidu's right to limit the number of times you use the services, the amount of data, etc.

3、 Use rules and restrictions

1. You need to ensure that the use of the platform services does not violate the provisions of various national laws and regulations, and does not infringe the rights and interests of any third party. If any consequences and losses are caused thereby, you should bear all responsibilities.

two Prohibited acts

You fully understand and agree that when you use the platform services, you should comply with all the laws, regulations, rules and regulations, specifications, policies, administrative orders, mandatory standards and industry standards of the People's Republic of China (collectively referred to as "laws and regulations"). Unless permitted by laws and regulations and with Baidu's prior written permission, you shall not engage in the following activities, nor agree, authorize or instruct any third person to engage in activities including but not limited to the following :

(1) Delete any copyright statement, trademark statement or other proprietary statement contained in the platform services; Including but not limited to any act that damages all relevant intellectual property rights of the platform;

(2) Wrongly express or imply to any third party that the services provided to you are Baidu owned, sponsored or recognized content;

(3) Publicize or provide information about illegal acts, promote personal injury against any group or individual or spread any virus, worm, defect, Trojan horse or other destructive content;

(4) Reverse engineer and reverse edit the platform service or try to extract source code from any part of the platform service or platform service related content, or obtain original data and other data;

(5) Copy, change, modify and other operations on any data or other data released from the platform service or during the operation of the platform service and interactive data during the operation of the platform service, including but not limited to the use of plug-ins, plug-ins or unauthorized third-party tools or services to access the platform services and related systems;

(6) Create any website or application to reproduce or duplicate the platform service or the platform.

3. Compliance with laws and regulations

You shall not upload, upload, publish, publish or disseminate any illegal content by using the platform services, including but not limited to the following content and behaviors:

(1) Opposing the basic principles set forth in the Constitution;

(2) Endangering national security, divulging state secrets, subverting state power and undermining national unity;

(3) Damage to national honor and interests;

(4) Inciting national hatred, national discrimination and undermining national unity;

(5) Those who undermine the state's religious policy and promote heresy and feudal superstition;

(6) Spreading rumors, disturbing social order and undermining social stability;

(7) Spreading obscenity, pornography, gambling, violence, murder, terror or abetting crime;

(8) Insult or slander others and infringe upon their legal rights;

(9) It contains false, harmful, coercive, infringing on others' privacy, harassment, infringement, slander, vulgarity, indecency or other morally objectionable content;

(10) Including other contents restricted or prohibited by Chinese laws, regulations, rules, regulations and any legally effective norms;

(11) Use the network service system for any illegal purpose.

4. Ensure network information security

You shall not use platform services to engage in the following activities that endanger the security of computer network information:

(1) Entering computer information network or using computer information network resources without permission;

(2) Deleting, modifying or adding computer information network functions without permission;

(3) Deleting, modifying or adding data and application programs stored, processed or transmitted in the computer information network without permission;

(4) Intentionally making and spreading destructive programs such as computer viruses;

(5) Other behaviors endangering the security of computer information network.

5. Restrictions on Services

You understand and agree that Baidu may impose reasonable restrictions on the number of service requests and the number of concurrent requests according to the characteristics of products and services, user use and purchase, etc. The restriction rules of each product and service may be different, and the details shall be subject to the product and service rules and other documents. After you reach the limit of using relevant products and services, we may terminate providing services for you.

Considering that you may need to test before ordering platform services, the platform may provide you with a certain amount of testing resources depending on the specific situation of each product. Baidu has the right to adjust the testing resources of each product according to policy requirements, business upgrading and other reasons, and the specific information displayed on the relevant page of the platform shall prevail. Baidu will take necessary measures to notify you, To protect your legitimate rights and interests.

On the premise of mutual agreement, you should correctly, completely and conspicuously mark the words "Baidu Brain provides technical support" in the products you operate using platform services.

six Baidu may launch "limited time free", "limited time discount", "limited amount discount", "top up discount" and free service and other preferential measures (hereinafter collectively referred to as "preferential measures") in a specific period due to marketing activities, product promotion and other reasons. You understand and agree that these preferential measures may be temporary, phased or have quantitative restrictions, It may also only apply to customers who meet specific conditions. You need to purchase and use the corresponding services according to the corresponding rules. Unless otherwise specified in writing, preferential measures may not be applied simultaneously. You fully understand and agree that the preferential benefits you have obtained may be adjusted or invalidated due to product/service version update, function adjustment and other reasons, and Baidu has the final right to interpret the applicable rules of preferential measures. You promise that you will not hold Baidu accountable for any adjustment of preferential measures or invalidation of preferential rights.

7. You can only use the platform services for civilian purposes, and under no circumstances should they be used in any way for any military purposes other than civilian purposes or for the clear illegal purposes of your country or the country supported by your products/services, including but not limited to nuclear weapons, biological and chemical weapons, missiles, terrorist activities or violations of civil rights.

8. Your overseas use of platform services shall comply with the restrictions and supervision of all laws, regulations and policies of foreign entities such as the United States, the European Union and/or other government agencies. You may not resell, export or transfer the platform services or any products developed using the platform services to specific countries and persons. You may not directly or indirectly export the platform services or any technology containing the platform services without the necessary approval of the relevant government authorities and the prior consent of Baidu.

nine You fully understand and agree that you are responsible for all your actions in using the platform services and all results arising therefrom, including but not limited to any content you publish, any services you provide and any consequences arising therefrom. You should make your own judgment on the content of the platform service and decide whether to use it, and bear all risks arising from the use of the platform service and its related content, including risks arising from reliance on the authenticity, integrity, accuracy, timeliness and practicality of the platform service and its content. Baidu will not provide any guarantee and guarantee for this, and will not be liable to you for any consequences or losses caused by the above risks.

If you violate laws and regulations or this agreement, Baidu has the right to deal with violations of laws and regulations or this agreement based on reasonable judgment, and reserves the right to take all remedies available by law for such violations. Baidu has the right to investigate and take appropriate legal action against any user who violates laws and regulations and this agreement, including but not limited to civil litigation. Baidu has the right to report the clues of the above violations and your personal information to the judicial authorities or other law enforcement agencies according to the severity of the violations, and cooperate with the judicial authorities or other law enforcement agencies in the investigation, hearing, prosecution, etc. You should bear any legal liability arising therefrom.

10. If you provide platform services to your users, you should also ensure that your users are fully aware of and agree to all the contents of this agreement and comply with all the rules of this agreement. If your users violate any of the terms of this agreement, Baidu has the right to stop providing services to you, take corresponding measures to your users in Article 9, and require you to compensate Baidu for the losses suffered as a result.

4、 User related data

User business data

1. The data you process, store, upload, download, distribute and process by other means through the services provided by Baidu are all your user business data. You fully own your user business data, and you guarantee that you have the right to use this service to process, store, upload, download and other processes of the aforementioned data.

2. You should be responsible for the source and content of your user business data, and Baidu reminds you to carefully judge the legitimacy of the data source and content. All results and responsibilities arising from the violation of laws and regulations, departmental rules or national policies by your user business data content or your handling of user business data and other related matters shall be borne by you.

When your user business data involves personal information, you should ensure that: (i) the legitimacy of user business data processing (including but not limited to: collection, storage, use, processing, transmission, provision, etc., hereinafter collectively referred to as "processing"), and (ii) effective, sufficient and necessary authorization has been obtained when you process or entrust Baidu to process user business data, It does not infringe the legitimate rights and interests of any third party. You should conduct necessary review on user business data and whether your processing of user business data complies with laws and regulations, departmental rules and national policies, and you should bear all responsibilities arising therefrom. You acknowledge and agree that Baidu will not violate any laws and regulations or be held accountable for providing corresponding services according to your instructions.

3. Baidu will not make any unauthorized use and disclosure of user business data except for your service requirements; Except for the following circumstances:

(1) Baidu has the obligation to provide cooperation in accordance with relevant laws, regulations or policy documents, and disclose to a third party or administrative, judicial and other institutions when relevant national authorities inquire about or access user business data according to law;

(2) Locate the problems in your use of the service, maintain and improve the service provided to you;

(3) You and Baidu have reached an agreement separately.

4. You can delete and change your user business data by yourself, which is subject to the function and service rules of each product on this platform. If you release the service or delete the data by yourself, Baidu will delete your online data and will no longer retain the data according to your instructions. You should be careful about data deletion and change.

5. When the service period expires, the service is terminated in advance (including but not limited to the early termination agreed by both parties, and the early termination caused by other reasons) or you have arrears, unless explicitly agreed by laws and regulations, required by the competent authorities or otherwise agreed by both parties, Baidu will only continue to store your user business data (if any) within a certain buffer period (subject to the time limit specified in the exclusive terms, product documents, service descriptions and other relevant service pages applicable to the services you use). At the end of the buffer period, Baidu will delete all user business data, including all cached or backup copies, No longer retain any of your user business data.

6. Once the user's business data is deleted, it cannot be recovered; You should bear the consequences and responsibilities caused by the deletion of data. You understand and agree that Baidu has no obligation to continue to retain, export or return user business data.

User account information

1. Your user account information, including when you log in to Baidu account or subscribe to or use Baidu related services:

(1) The information filled in or submitted includes company name, business license information, name, gender, date of birth, ID card number, passport information, telephone number, e-mail address, address (including postal code) and payment account number;

(2) Baidu's records of the service process, including your bills, historical purchase information, consultation records, fault reporting records and troubleshooting process.

2. Since the purpose of collecting your user account information is to provide you with services and improve service quality, Baidu will only use your information for the following purposes to achieve this purpose, unless you and Baidu agree otherwise or inquire or read in accordance with the law in the relevant national authorities:

(1) Provide you with various services you use, and maintain and improve these services;

(2) In compliance with the requirements of relevant laws and regulations, recommend to you the content you may be interested in, including but not limited to sending you product and service information.

User support data

You understand and agree that in order to respond to your request for help in a timely manner, ensure the overall security of the service, and improve platform services, Baidu will detect, browse, and record user support data such as your service use behavior and the unsafe characteristics of your data. User support data does not include user business data and user account information.

5、 Intellectual property

1. The intellectual property rights of all products, technologies and all programs of the platform and any materials, technologies or technical support, software, services, etc. provided by Baidu belong to Baidu. Unless expressly agreed by Baidu, you have no right to copy, disseminate, transfer, license or provide others to use the above knowledge achievements, otherwise you should bear corresponding responsibilities.

2. Baidu is the complete and full legal obligee of the intellectual property rights of the platform services and their presentation content as well as any other related content. You fully understand and agree that you only have the right to legally use the platform services in accordance with this agreement. All intellectual property rights related to the platform services, such as copyright, trademark rights, patent rights, trade secrets, are protected by the laws and regulations of the People's Republic of China and corresponding international treaties. Baidu enjoys the above intellectual property rights. Without the written consent of Baidu or the relevant obligee, you may not implement, utilize or transfer the above intellectual property rights by yourself or by licensing any third party for any commercial or non-commercial purposes.

3. You fully understand and agree that in the presentation of the platform services, you may not delete, hide, modify or replace any copyright logo, trademark, service logo, logo, trade name, enterprise name, domain name and other obvious signs of Baidu, its affiliated companies and their partners in any way.

4. You shall not delete, hide, modify or replace any proprietary right statement (including but not limited to copyright, trademark right, patent right, ownership statement, etc.), any other link or announcement attached to or included in the platform services and presentation content in any way.

5. You agree to grant Baidu a free, permanent, irrevocable, non exclusive and non transferable right and license to use any of your copyright signs, trademarks, service marks, logos, trade names, enterprise names, domain names and other obvious signs to publicize your use of platform services during the term of this agreement.

6. You shall ensure that the information provided to Baidu, all data uploaded during the use of platform services, the use of platform services, and the materials involved in the use of platform services or the corresponding results generated will not infringe the legitimate rights and interests of any third party; If a third party interviews or punishes Baidu with respect to the information, data you provide, upload or use, or your behavior and work results, or files any complaint, claim, lawsuit or other type of claim against Baidu, you understand and confirm that you should immediately solve it and compensate Baidu for all economic losses incurred, including but not limited to various expenses Compensation expenses, etc.

7. If a third party institution or individual raises a question or complaint about the ownership of Baidu's intellectual property rights, you should inform Baidu in time and Baidu will deal with it.

6、 Privacy Policy

If your users' complaints, claims, lawsuits and other disputes are caused by user related data, you should be responsible for handling them by yourself and bear all legal liabilities, and at the same time, you should ensure that Baidu will not suffer any loss or damage as a result. If Baidu is solely or jointly liable for compensation to anyone including you and your users due to any government decision or court judgment, you should make corresponding compensation to Baidu to ensure that Baidu will not suffer any loss or damage as a result.

2. Information disclosure

4. SDK Privacy Policy

7、 Disclaimer and Limitation of Liability

1. If Baidu finds or receives reports or complaints from others that you (or your users) violate the agreement, Baidu has the right to take measures, including but not limited to suspension or termination of platform services, investigation of legal liability and other measures according to the nature of your (or your users) behavior.

2. You fully understand and agree (and should urge your users to fully understand and agree) that Baidu has the right to deal with violations of relevant laws and regulations or this Agreement in accordance with reasonable judgment, take appropriate legal action against your (or your users') violations, and save relevant information to report to relevant departments in accordance with laws and regulations, You shall bear all legal liabilities arising therefrom.

You fully understand and agree (and should urge your users to fully understand and agree) that if Baidu, other users or any third party causes damage and causes any and all claims, requests, losses, liabilities and expenses because you (or your users) violate laws and regulations or this Agreement, You (and your users) should bear all the consequences and losses arising from this, including but not limited to fines, compensation, legal fees, attorney fees, etc. Baidu will not bear any responsibility for this.

5. You understand and agree (and should urge your users to understand and agree) that you (and your users) will bear all the risks of using the platform services. The platform expressly states that it does not provide any express or implied warranties and guarantees, including but not limited to:

(1) The platform services will meet your (or your users') actual or specific needs or purposes, and any products, services or other content purchased or obtained through the platform services will meet your expectations;

(2) The platform service is 100% accurate, reliable, error free, uninterrupted, stable, and free from any failure. You fully understand and agree (and should urge your users to fully understand and agree) that you (or your users) should bear any obligations, responsibilities and consequences arising from any related behavior you (or your users) use the platform services, and the behavior of any management personnel, employees or other agents of you (or your users) should be regarded as your (or your users) You (and your users) should also bear all the obligations, responsibilities and consequences arising from your actions. If you (or your users) use the platform services for website or application development on behalf of other subjects, and you (or your users) do not inform other subjects of the existence of this agreement and obtain their written consent, you (and your users) are jointly and severally liable for any obligations, liabilities and consequences arising from any related behavior of such subjects using the platform services.

8、 Change, suspension and termination of services

1. You understand and recognize that Baidu will continue to improve its service level and quality. In order to continuously improve the use experience, Baidu has the right to change, suspend or terminate relevant services, and notify you through the website letter, platform announcement and other means as far as possible before changing, suspending or terminating the provision of relevant services. If all or part of the platform services need to be suspended or terminated due to the needs of server or system maintenance, upgrading or other reasons, Baidu will try its best to make an announcement in advance. If Baidu permanently terminates providing platform services, Baidu will make an announcement on relevant software or website in advance before the termination of platform services. You understand and agree (and should obtain the prior consent of your users) that Baidu does not need to notify you (or your users) separately. Baidu does not have to bear any responsibility to you or any third party for any change, suspension or termination of the platform services, except for the responsibilities explicitly required by laws and regulations.

2. If you (or your users) stop accessing the platform or using the platform services, or the platform stops providing services to you (or your users), you must (and should urge your users to) immediately delete all data (including various backups) obtained from the platform, and should not use it in any way.

3. You should (and urge your users) take reasonable and safe technical measures to ensure the security of all kinds of data and other information stored in Baidu servers due to the use of platform services, and take other security measures against your own behavior (including but not limited to installing software, taking encryption measures or other security measures) Take full responsibility for the results caused.

9、 Term and Termination

1. The effective date of this agreement should be the earlier date when you agree to this agreement or use the platform services And has no fixed term, unless terminated:

(1) You lose the capacity for civil rights or civil conduct, or lose the legal authorization of other subjects;

(2) Baidu stops providing platform services for any reason;

(3) You no longer use platform services;

(4) Other reasons leading to the termination of this Agreement.

2. Both you and Baidu can terminate this agreement without any reason. If you need to terminate this agreement, you must first stop using the platform services, remove the relevant products or services in this platform from your website or application, and delete all data provided by this platform (including but not limited to all pictures, voice, etc., and the logo of this platform).

3. When this agreement is terminated for any reason, all rights and licenses you have obtained under this agreement will be terminated at the same time. At that time, you will no longer be able to use any part of the platform services.

4. You fully understand and agree (and should urge your users to fully understand and agree) that after the termination of this agreement, Baidu can continue to save all the information and data collected through the platform services (if personal information is involved, we will anonymize it in accordance with legal provisions) on the premise of not violating the requirements of applicable laws and regulations and other terms of this agreement, And shall be used in accordance with the purpose agreed herein.

5. After the termination of this agreement, Baidu can still hold you (or your users) accountable for violations of laws and regulations or violations of this agreement in accordance with relevant laws and regulations and this agreement The provisions on the application of law and dispute resolution are always valid.

6. Baidu does not have to be liable to you (or your users) or any third party for the termination of this Agreement or the platform services, except for those expressly required by laws and regulations.

10、 Dispute resolution

1. The conclusion, validity, interpretation, performance, modification and termination of this Agreement, access to and use of platform services, and dispute settlement are all governed by the laws of the People's Republic of China (for the purpose of this Agreement only, excluding Hong Kong, Macao and Taiwan).

2. Any dispute arising from access to and use of platform services shall be settled by the parties through friendly negotiation. If the negotiation fails, either party may file a lawsuit to the People's Court of Haidian District, Beijing. In case of any dispute arising from the access to and use of the platform services or any dispute in the process of litigation, in addition to the matters in dispute, the parties shall continue to exercise their other rights and perform their other obligations.

11、 Others

1. Notice and delivery

You fully understand and agree that Baidu can send you any notice about platform services through any of the following ways: posting general notices on software and websites; Send email to the email address you provide; Send SMS notification to the mobile communication number you provide; Send a written notice to the mailing address provided to you by ordinary mail. The above notice shall be deemed to have been delivered to you since the date of release or sending, and you are obliged to check any of the above notices.

2. Severability

If any agreement of this Agreement conflicts with applicable laws and regulations, the provisions of applicable laws and regulations shall prevail. If any agreement in this Agreement is invalid or unenforceable for whatever reason, it is removed from this Agreement without affecting other agreements, and each party shall replace it with a valid and enforceable clause (or part of it) with the same effect that best reflects the content and intent of this Agreement. The remaining agreements in this Agreement shall remain valid and have full legal binding force.

3. Assignment

Without Baidu's prior written consent, you may not transfer this Agreement and any rights and obligations under it to any third party. Baidu has the right to transfer this Agreement, in whole or in part, to the following parties at any time without your consent: (1) Baidu's subsidiaries or affiliates; (2) The acquirer of Baidu's company equity, business or assets; Or (3) heirs in M&A transactions. Any transfer in violation of this Agreement is invalid.

4. Integrity

This agreement (including the supplementary agreement, additional terms and other relevant terms) constitutes the entire agreement and understanding between you and Baidu on access to and use of platform services, and supersedes any and all previous agreements or understandings between you and Baidu on the aforementioned issues.

5. Waiver

Unless Baidu confirms and agrees in writing, Baidu's failure to perform any right or clause in this agreement does not constitute Baidu's waiver of relevant rights or clauses.

6. Title

All headings in this Agreement are for convenience of reading only, and have no actual meaning, and cannot be used as the basis for interpretation of the meaning of this Agreement.
