These rules may involve the exemption or limitation of liability of related parties, the application of law and dispute resolution clauses, so we suggest you read them carefully. If you are a person with limited capacity for civil conduct (including but not limited to a natural person under the age of 18), please read this agreement with your legal guardian. If you disagree with any content of this agreement, you should immediately stop registering or using it; If you click to agree or use or accept any service of Tianyancha in any other way, it is deemed that you have read and agreed to this agreement, and voluntarily accept all the restrictions of this agreement.

1、 Definition

1. Tianyancha's products and services: refers to the Tianyancha website APP、 Small programs, etc., integrate the enterprise credit reporting products and services of Beijing Jindi Credit Reporting Service Co., Ltd., and provide users with various products and services.
   The affiliated companies mentioned in this agreement refer to Beijing Tianyancha Technology Co., Ltd. and other affiliated companies.
2. User: refers to the natural person or enterprise that has read and agreed to this Agreement and the Privacy Policy, registered a Tianyancha account in the Tianyancha series of products, and used the Tianyancha service.
3. Tianyancha account: refers to the account registered and used by users in Tianyancha series products. This account is the user's version of Tianyan APP and Tianyan webpage（ www.tianyancha.com ）, Tianyancha applet and other Tianyancha series products. If the user has not registered "Tianyancha account", he can log in and use Tianyancha web version, Tianyancha APP, Tianyancha applet and other Tianyancha series products after registering the account.
4. Tianyan Search Service: refers to various free and paid services provided by Tianyan Search, including but not limited to VIP/SVIP member services, data yellow diamond services and other VIP exclusive services.
5. VIP member service: refers to all privileged services provided by Tianyan to VIP/SVIP users.
6. VIP exclusive service: refers to the privileges provided by Tianyan to SVIP or users who separately pay for data yellow diamond and other privileged services.

2、 Main information of the agreement

1. Main contents of this agreement
   (1) This agreement is The provision and use rules of Tianyan search service, Including all contents of the User Agreement and its supplementary agreements (if any), and the Privacy Policy.
   (2) After you register your account with Tianyancha, you can choose to use the free services provided by Tianyancha, or you can use VIP membership services, VIP exclusive services and other paid services by purchasing members, paying separately, etc. according to your needs. The service forms include but are not limited to data query, information release, data export, etc. Tianyancha has the right to modify or improve the existing services based on laws and regulations, regulatory requirements, business strategies and other reasons.

3、 Account registration

1. You know and promise that you have full capacity for civil conduct, or you have not full capacity for civil conduct but have been approved by your parents or other legal guardians and registered by your parents or other legal guardians on behalf of you to use Tianyan Search services. If you do not have the appropriate civil capacity to register and use the Tianyan search service, you and your parents or other legal guardians shall bear all the consequences arising therefrom in accordance with the law.
2. You can directly use some Tianyan search services (search and view some data on the company details page) without registering a Tianyan search account; After you register and log in to Tianyan to check your account, you will enjoy more services and more permissions.
3. Before you register your account, please read this agreement and the Privacy Policy in detail, which contains the personal information you need to provide when you register your account. You need to provide Mobile phone number, mobile phone verification code, user name and password to be used registered in the People's Republic of China (only for the purpose of this Agreement, excluding Hong Kong Special Administrative Region, Macao Special Administrative Region and Taiwan) 。
4. You know and promise that the information you fill in when you register Tianyan to check the account should follow the principles of honesty, credibility, authenticity and legality, and should not submit any illegal or bad information; If there is any change in the relevant information, you should update it in time. If the registration information provided by you is illegal, untrue, inaccurate or not updated in time, you will bear any adverse consequences and legal liabilities arising therefrom, and you will also be subject to corresponding restrictions when using the Tianyan Search service.
5. Without the authorization of the relevant obligee, you are not allowed to register the Tianyancha account in the name of others or other organizations, nor to use misleading information to register the account, including but not limited to the name, avatar or profile that makes people mistakenly believe that the account is associated with other individuals or organizations.

4、 Account management

1. After you read and agree to this agreement, fill in your personal information according to the tips on the registration page and complete the registration procedure, you will get the Tianyancha account and become a user of Tianyancha. You can use the Tianyan search service, and set the account nickname, modify the account password and some personal information in accordance with laws and regulations, regulatory policies and this agreement.
2. Tianyan Search only allows you to use one Tianyan Search account. If there is evidence to prove or Tianyancha judges that you have improper registration or improper use of multiple Tianyancha accounts, Tianyancha can take measures such as freezing or blocking accounts, canceling orders, refusing to provide services, etc. after notifying you. If Tianyancha and/or a third party suffer any loss as a result, you should also be liable for compensation.
3. You should carefully and reasonably save and use your Tianyan account and password, and be responsible for all actions under the account. If you find any illegal use of your Tianyancha account or any other situation with security vulnerabilities, please immediately modify the account password and notify Tianyancha. You understand that Tianyancha will cooperate with you to take necessary measures to reduce your losses caused by the leakage, forgetting or other circumstances of Tianyancha's account and/or password due to your own reasons, but you shall bear the adverse consequences and responsibilities arising therefrom. For any of your requests, Tianyancha needs a reasonable time to take relevant actions. If the consequences of infringement cannot be avoided or prevented from forming or expanding, Tianyancha will not bear any other responsibility except legal responsibility.
4. If you accidentally lose your password, you can obtain the verification code through the registered or bound mobile phone number, reset the password, or retrieve the password through other methods publicized in the Tianyancha series of products.
5. Under no circumstances should you trust any loan, password or other property related information. If property operation is involved, please verify the identity of the other party first. Tianyancha is not responsible for the content and authenticity of any third-party website. Please pay attention to the safety of information and property.
6. Your Tianyan account is only for your own use. Without the consent of Tianyan, You are not allowed to provide your registered Tianyancha account to a third person for use. It is invalid for you to directly or indirectly authorize a third party to use your Tianyancha account or obtain information under your account. You need to be responsible for the third party's use of your Tianyancha account, and Tianyancha has the right to restrict or terminate your use of various Tianyancha services.
7. You may not falsely use other people's information to register the Tianyan account, nor may you embezzle other people's Tianyan account. Otherwise, you should bear all legal liabilities arising therefrom, and Tianyancha has the right to restrict or terminate your use of various services.
8. You should have the civil capacity suitable for the activities you are engaged in before you use the Tianyancha account to engage in various activities in the Tianyancha series of products. If you do not have the corresponding civil capacity (including but not limited to the case that you are under the age of 18), you should engage in relevant activities under the supervision of your parents or other legal guardians, and you and/or your legal guardians should bear all the consequences arising therefrom in accordance with the law.
9. The ownership of your Tianyancha account registered with Tianyancha series products belongs to Tianyancha. After successful registration, you can obtain the right to use the Tianyancha account. If you violate this agreement and/or this agreement is terminated, Tianyancha has the right to restrict the use of your Tianyancha account or withdraw your Tianyancha account as the case may be.
10. When the account cancellation conditions publicized by Tianyancha are met, you can cancel your Tianyancha account according to the process. See Tianyancha for details Notice on Cancellation 。

5、 Sky eye inspection service and specification

（1） Service and Specification Terms

1. In order to provide you with effective services, Tianyancha will use the processor, bandwidth and other resources of your terminal equipment. The data traffic costs that may arise in this process will be borne by you. You can consult the operator for specific tariff information.
2. On the premise of complying with laws and regulations and this agreement, after you register and log in the Tianyan Search account, you can choose to use the following Tianyan Search services according to your needs, including but not limited to data query, information release and data export:
   (1) Use some free services provided by Tianyancha (such as querying the company details page information, etc.);
   (2) Use VIP member services, VIP exclusive services and other paid services (such as viewing the company's judicial resolution, property clues, etc.) by purchasing members, paying extra fees, etc;
   (3) Virtual assets such as points (if any) and coupons obtained through free or paid methods;
   (4) Publish content, post comments, etc. in relevant discussion areas;
   (5) Tianyancha will modify or improve any new function of the existing service at any time based on laws and regulations, regulatory requirements, business strategies and other reasons.
3. You can obtain or use the Tianyan Search service through the following Tianyan Search authorization or express permission. If you obtain or access Tianyancha services through a third-party channel that is not authorized or licensed by Tianyancha, we cannot guarantee that you can use the relevant services normally, and we will not be responsible for the losses you suffer as a result:
   (1) Visit Tianyan website（ www.tianyancha.com ）；
   (2) Obtain Tianyancha mobile client software (Tianyancha APP) from Tianyancha website or a third party channel legally authorized by Tianyancha;
   (3) Access the Celestial Eye applet.
4. In order to improve the user experience and service content, Tianyancha will constantly strive to develop new services and provide you with software update services from time to time. After the new version is released, the old version of the software may not continue to work normally. Tianyancha does not guarantee the usability and quality of service of the old version of the software. Please update the latest version in time.
5. According to laws, regulations and regulatory requirements, you should use Tianyancha service in the People's Republic of China. Any data information you obtain through Tianyancha should only be stored and/or used in the People's Republic of China, and you should not use overseas IP For login or access, it is not allowed to transfer the data information obtained through Tianyancha to overseas, or in any way allow any overseas institution, organization or individual to query, retrieve, download or export the above data. Otherwise, Tianyancha has the right to stop providing services to you, without refunding any fees (if any), and investigate legal liability.
6. Tianyancha has the right to decide to use its platform for commercial purposes, including but not limited to developing and using some services within its platform to promote Tianyancha products or third parties. Tianyancha promises to protect your personal information in strict accordance with relevant laws and regulations and this agreement during the promotion process, and you can also choose to block or refuse to receive relevant promotion information through system settings.
7. Tianyancha has the right to conduct advertising business in accordance with relevant laws and regulations. You should carefully judge the authenticity and reliability of the advertisements appearing in the use of Tianyancha service. Unless otherwise specified by law, Tianyancha will not be responsible for your actions due to the advertisements.
8. Tianyan has established public complaint and reporting channels. If you find any information or behavior that violates laws and regulations or this agreement, or any information that you think infringes your legitimate rights and interests when using the Tianyan Search service, you can make complaints and reports at any time.
9. The private messages and announcements in the Tianyan Search platform, as well as the mobile phone number, email and contact address you fill in, use or bind when you register the Tianyan Search account or use the Tianyan Search service can all be regarded as valid contact information. Tianyancha will send you various notices through one or more of your effective contact information. The contents of the notice may have a significant beneficial or adverse impact on your rights and obligations. Please pay attention to it in a timely manner.
10. In addition to the above contact information, Tianyancha has the right to provide and push content to you in the form of pop-up window, so that you can understand the latest activities or information. If you refuse to accept, you can close or click Close in Settings - Push Information Settings.

（2） VIP member service

1. After you register your Tianyancha account in accordance with this Agreement and the Privacy Policy, you can purchase VIP/SVIP membership services through Tianyancha official channels to become a Tianyancha VIP member (hereinafter referred to as "VIP member"), and the corresponding Tianyancha account will be upgraded to a Tianyancha VIP member account (hereinafter referred to as "VIP member account"). For the avoidance of doubt, the "VIP member account" referred to in this article also includes the SVIP account and the sub account under the enterprise package. When you use VIP member services, you must also comply with the provisions of VIP member services.
2. If your mobile phone number and other personal data are changed when you register your VIP member account, you should modify them in a timely manner. The adverse consequences of your inability to fully enjoy VIP membership services due to personal reasons such as failure to timely modify the information shall be borne by you. If Tianyancha restricts or terminates your VIP membership services for this reason, it is not necessary to refund the VIP membership fees you have paid or give you any other form of compensation or compensation.
3. You should become a VIP member of Tianyancha in the following ways:
   (1) Become a VIP member through the purchase channel designated or explicitly recognized by Tianyan to obtain VIP member services. VIP member accounts obtained through unspecified channels or at unusual prices may belong to abnormal accounts. When your VIP member account is identified as an abnormal account, Tianyancha has the right to investigate the relevant abnormal account and deal with it according to the relevant provisions of this agreement.
   (2) Pay the service fees of VIP members through the payment channels designated or explicitly recognized by Tianyan. Before paying for the VIP member service, you must recognize the price marked for the service, confirm that you accept the relevant service terms and payment terms, operate in strict accordance with the payment process, and pay attention to and ensure the security of the payment environment when paying, otherwise you should bear all the adverse consequences.
4. After you complete the payment of relevant fees through the purchase and payment channels designated or explicitly recognized by Tianyancha, Tianyancha will immediately activate your VIP member service, and your VIP member account will become effective immediately and start to calculate the VIP member service period.
5. The content and fees of VIP member services shall be subject to the rights content and tariff marked on the Tianyancha website. Tianyancha has the right to modify or improve the existing service and tariff pricing at any time based on laws and regulations, regulatory requirements, business strategies and other reasons.
6. VIP member service specification
   (1) All VIP member services provided by Tianyancha to VIP members are limited to the use of the VIP members in the legitimate platform operated by Tianyancha. Any act of separating Tianyan Search service content from Tianyan Search platform by malicious means such as malicious cracking (such as malicious modification of Tianyan Search display information) does not belong to Tianyan Search service. All legal consequences arising therefrom shall be borne by the perpetrator, and Tianyan Search will investigate the legal responsibility of the perpetrator according to law.
   (2) When you start to actually use the individual services provided by Tianyancha, it is deemed that you have agreed to the service terms of the individual services and the provisions of various announcements issued by Tianyancha in the individual services (if any).
   (3) You know and agree that, influenced by the business rules of SMS service providers, the maximum number of SMS messages that you can collect VIP member account login verification codes is 20 times per day, and the maximum number of voice messages is 3 times. After the collection times on that day are exhausted, you will not be able to log in to your VIP member account by receiving verification code SMS messages. In order to ensure your normal use of VIP member services, please reasonably arrange your login method, daily login times or login devices.
   (4) You know and agree that the VIP member services you purchased are network goods and virtual goods, and these products are special goods that are not suitable for return without reason. The fee you paid is the price of online goods corresponding to the membership service you purchased, rather than the nature of advance payment or deposit, deposit, savings card, etc. The VIP membership service is non refundable once it is opened.
   (5) You know and agree that the VIP membership service has a fixed service life, and you have the right to use the VIP membership service within the service life you purchased. When you purchase VIP member services or open a VIP member account, it is deemed that you have agreed to Tianyan's relevant provisions on the service life of VIP members. During the service period, you have the right to give up using the VIP member service (and cancel the Tianyancha account corresponding to the VIP member account), but Tianyancha does not need to refund you any VIP service fees you have paid (including but not limited to the VIP member service fees and the Tianyancha value-added service fees and/or balance purchased by the VIP account).
   (6) You know and agree that the same VIP member account can only be logged in and used on one mobile communication device at the same time. If it is used beyond the above range, the account will be forced to be offline. In case of any loss caused by the use of VIP member account beyond the scope in violation of the above provisions, the user shall bear the adverse consequences, and Tianyancha reserves the right to investigate the legal liability of the above perpetrators.
   (7) You know and agree that the behavior in your VIP member account (including but not limited to information inquiry, information release, etc.) represents your own behavior. You should properly keep your VIP member account and password, and be responsible for all actions under this account. If you find that your account has been used without authorization, please notify Tianyan immediately, and we will help you to retrieve it.
   (8) In order to ensure the security of your VIP member account and ensure that your account is not used illegally by others, you should not obtain or use your VIP member account through any other means other than the official channels of Tianyancha or the explicitly authorized channels, or provide conditions for others to obtain or use your VIP member account through other ways. Otherwise, Tianyancha has the right to take measures such as forcibly changing the password or even blocking the relevant VIP member account, depending on the specific violation, to suspend or terminate the VIP member service for you without refunding any fees. Illegal use cases include:
   

   a. Transfer, borrow, lease, give or otherwise provide conditions for others to use your VIP member account without the express consent of Tianyancha in advance;

   b. Obtain Tianyancha services or relevant data information through crawler tools, robot software and other means without the express consent of Tianyancha in advance;

   c. Infringe the legitimate rights and interests of Tianyancha or others through system loopholes, black industry, abuse of membership and other improper means;

   d. Other behaviors in violation of laws and regulations, regulatory policies, this agreement and/or other service rules.

   (9) We will judge whether your account has the above illegal use based on the following criteria:
   

   a. Whether the number of recently logged in devices of the same account is abnormal;

   b. Whether the number of daily queries for the same account is abnormal;

   c. Whether there are other specific behaviors that can be identified as illegal use.

（3） Virtual asset usage rules

1. Virtual assets cannot be exchanged for cash or transferred, bought, sold, replaced, mortgaged, etc. Tianyancha does not provide operation modification, return, etc. for the behavior of virtual assets consumed by users; For the products exchanged for virtual assets, Tianyan will not be liable for the product liability not caused by Tianyan's fault.
2. The access, method, quantity, use method, validity period and other contents of the virtual assets shall be subject to the disclosure, actual display or explanation of the Tianyancha platform from time to time.
3. Tianyancha has the right to decide at its own discretion whether to stop the distribution and use of virtual assets due to its own development and operation. Tianyancha will not return or compensate the virtual assets obtained by users in non cash form.

（4） Information release rules

1. Users who use Tianyan to check their accounts and produce, publish and disseminate information content need to conduct real name authentication. You shall not register or authenticate with false or falsely used resident identity information or enterprise related information; If there is any change in your personal data, it should be updated in a timely manner.
2. Any content (including but not limited to user names, nicknames, user avatars, basic information, career information, community Q&A and other information and related link pages) that you create, copy, publish and disseminate when using the Tianyancha service must comply with relevant national laws and regulations, regulatory policies and this agreement, and bear all civil Administrative, or criminal legal liability and/or other adverse consequences.
3. When you use information release, enterprise/personnel profile editing or modification and other functions in Tianyancha, we may charge you according to the product features you choose, and you can choose to purchase corresponding services according to your needs. You know and agree that after you purchase the corresponding service, you will be deemed to have agreed to Tianyancha's provisions on the service period or times. During the service period, you have the right to give up continuing to use the corresponding service, but if you have used the corresponding service, Tianyancha does not need to refund you the product/service fees you have paid.
4. You shall not use Tianyancha account or service to create, copy, publish, and disseminate content and adverse information that infringes the legitimate rights and interests of other users or third parties, violates laws, regulations, policies, violates public order and good customs, is detrimental to the construction of network civilization, violates the audit rules of Tianyancha platform, and does not meet the audit requirements, including but not limited to:
   (1) Violating the basic principles defined in the Constitution;
   (2) Endangering national security, divulging state secrets, subverting state power and undermining national unity;
   (3) Damage to national honor and interests;
   (4) Inciting national hatred and discrimination, and undermining national unity;
   (5) Destroying friendly relations between countries and regions;
   (6) Violating the traditional virtues of the Chinese nation, social morality, ethics, and socialist spiritual civilization;
   (7) Those who undermine the state's religious policy and promote heresy and feudal superstition;
   (8) Spreading rumors or false information, disrupting economic and social order and undermining social stability;
   (9) Incitement, organization, instigation of terrorist activities, illegal assembly, association, procession, demonstration, or gathering people to disturb public order;
   (10) Spreading obscenity, pornography, gambling, violence, terror or abetting crimes;
   (11) Insult or slander others, or infringe upon others' right of portrait, name, reputation, privacy or other personal rights;
   (12) Acting in the name of an illegal organization;
   (13) Infringe upon the legitimate rights and interests of others such as reputation right, portrait right, intellectual property right, trade secret, etc;
   (14) Involving others' privacy, personal information or data;
   (15) Contain harassment, advertising information, excessive marketing information and junk information or any sexual or sexual implication;
   (16) Distortioning, vilifying, blaspheming or denying the deeds and spirit of the heroic martyrs, or infringing upon their names, portraits, reputation or honor by insulting, slandering or other means;
   (17) Publicizing terrorism and extremism or inciting terrorist and extremist activities;
   (18) The use of exaggerated titles, the content of which is seriously inconsistent with the title;
   (19) Hyping scandals, scandals, bad deeds, etc;
   (20) Improperly commenting on natural disasters, major accidents and other disasters;
   (21) Those with sexual suggestion, sexual provocation, etc. that are easy to make people have sexual association;
   (22) Showing bloody, thrilling, cruel and other causes physical and mental discomfort;
   (23) Inciting crowd discrimination, regional discrimination, etc;
   (24) Publicizing vulgar, vulgar and kitsch contents;
   (25) It may cause minors to imitate unsafe behaviors, violate social morality, and induce minors' bad habits;
   (26) Relevant contents that fail to pass the audit of the Tianyan inspection platform by itself or entrusted to a third party;
   (27) Other contents or bad information that contain or are suspected to violate laws, regulations, national policies, public order and good customs, and damage the construction of network civilization.
5. Tianyancha has the right to review, supervise and process your use of Tianyancha service and any information and content published, including but not limited to user information (account information, personal information, etc.), published content (location, text, picture, audio, video, trademark, patent, publication, etc.) User behavior (building relationships, information, comments, private messages, participating topics, participating activities, marketing information release, reporting and complaints, etc.).
6. You should pay attention to and abide by various agreements and rules published or modified by Tianyancha from time to time. You understand and agree that we have the right to delete all kinds of content in violation of laws and regulations, regulatory policies and/or agreements in this agreement or take desensitization, shielding, reset and other measures for related content on the Tianyancha platform without notifying you, and agree to actively cooperate with Tianyancha to deal with related issues.
7. If you find that other users upload illegal and infringing content in the process of using Tianyancha service, users can contact Tianyancha customer service personnel through Tianyancha complaint guidance, and relevant personnel will verify and deal with it as soon as possible. If it involves the handling of personal rights disputes such as name right, name right, reputation right, honor right, portrait right, privacy right, etc., you can first contact the customer service personnel of Tianyancha for handling; If you think that the above methods can not solve the problems encountered, or you feel it necessary to seek help from the judicial administrative authorities, you can report to the relevant authorities as soon as possible, and Tianyancha will cooperate with the judicial authorities in the investigation and evidence collection work according to law.

6、 Personal information protection and authorization

1. Protecting users' personal information is a basic principle of Tianyan Search. Tianyancha will try its best to use various security technologies and procedures to establish a sound management system to protect your personal information from unauthorized access, use or disclosure.
2. In order to ensure your normal use of Tianyancha service, Tianyancha has the right to collect your real name, mailing address, contact information, evaluation feedback and complaint content when you register, browse, query, leave a message and other activities in Tianyancha series products, and strictly keep confidential the information involving personal privacy. Unless authorized by you, in order to perform mandatory legal obligations, otherwise agreed in this Agreement or otherwise stipulated in legal policies, Tianyancha will not disclose your private information, and the specific content of the Privacy Policy shall prevail.
3. When using the Tianyancha service, you shall not use any illegal means to obtain other users' personal information, use other users' information for any profit or non-profit purpose, or disclose the personal privacy of other users or obligees. Otherwise, Tianyancha has the right to take reasonable measures to stop your above behaviors; If the case is serious, Tianyan will submit it to the public security organ for filing.
4. In order to protect users' personal information according to law, Tianyancha will collect, use, store and share your personal information in strict accordance with this Agreement and the Privacy Policy. If there is no explicit provision in this Agreement on the protection of personal information, the contents of the Privacy Policy shall prevail.

7、 User behavior specification

1. Tianyancha has the right to suspend or terminate the provision of some or all of the services under this agreement to you without assuming any responsibility to you based on unilateral independent judgment when it believes that you may violate the user's code of conduct or endanger national security, public security, social public interests, Tianyancha data or the legitimate rights and interests of a third party.
2. You should observe the following Internet bottom line when using the Tianyan Search service:
   (1) The bottom line of laws and regulations;
   (2) The bottom line of the socialist system;
   (3) National interest bottom line;
   (4) The bottom line of citizens' legitimate rights and interests;
   (5) The bottom line of social public order;
   (6) Moral bottom line;
   (7) The bottom line of information authenticity.
3. You shall not engage in the following behaviors when using the Tianyan Search service ：
   (1) Access or try to access the Tianyan search service through the network provided by the cloud service provider;
   (2) Commercially use, rent, lend, copy, modify, link, reprint, assemble, publish, publish, set up mirror sites, etc. of relevant data in Tianyancha products or services;
   (3) Submit and release false information, or impersonate or use others' names;
   (4) Induce other users to click the link page or share information;
   (5) Fabricate facts and conceal the truth to mislead and deceive others;
   (6) Restrict, prohibit or interfere with or influence others to use the Tianyan search service by other means;
   (7) Engaging in any illegal and criminal activities by using the Tianyan account checking and services;
   (8) Any operation carried out maliciously, and any behavior that may affect the integrity or accuracy of Tianyancha products or services;

4. You shall not use Tianyancha service for any illegal purpose, and shall not use or use Tianyancha to engage in the following activities in any form without the prior written permission of Tianyancha:
   (1) Access to Tianyan Search or other computer information networks or use computer information network resources;
   (2) Delete, modify or add Tianyan search or other computer information network functions;
   (3) Entering the computer information network to delete, modify or add data and application programs stored, processed or transmitted;
   (4) Making and spreading computer viruses (including trojans) and other destructive programs;
   (5) Obtain the Tianyan search service or relevant data information through crawler tools, robot software and other means;
   (6) Violation of robots. txt or similar files in Tianyan series products or services;
   (7) Other behaviors endangering the security of computer information network.
5. Without the prior written consent of Tianyancha, you shall not transfer any of your rights or obligations under this Agreement to any third party. For the need of operating Tianyancha service, Tianyancha has the right to transfer this agreement (and other supplementary agreements you need to comply with for this service) as a whole to Tianyancha's affiliates. In the event of merger, acquisition, corporate restructuring or sale of all or most of the assets, Tianyancha will also transfer this agreement (and other supplementary agreements that you need to comply with for this service) to a third party. In the above circumstances, Tianyancha has the right to notify you in a reasonable manner without your consent.
6. Without the prior written consent of Tianyancha, you shall not store any data obtained from Tianyancha series products outside the People's Republic of China (for the purpose of this Agreement only, overseas includes Hong Kong Special Administrative Region, Macao Special Administrative Region and Taiwan), or in any way allow any overseas institutions, organizations or individuals to download and export bulk data.
7. When you log in to Tianyan Search account to use Tianyan Search service, There shall be no malicious or non-human continuous and frequent query operations, or unreasonable and massive access to the information, information, data, etc. of the Tianyancha platform through machine capture, copying, mirroring, etc., or Tianyancha has the right to seal your account number without any responsibility to you. If multiple accounts in the same IP address have the above behaviors for many times, Tianyancha will have the right to automatically close the IP address without any responsibility to you. Tianyancha has the right to suspend or terminate the provision of part or all of the services under this agreement to you without refunding any fees (if any) and pursue legal liability based on unilateral independent judgment that you may have the above behavior, and you should fully compensate Tianyancha for the loss of goodwill, corporate image, etc 。

8、 Intellectual property

1. Tianyancha respects intellectual property rights and requires you to do the same. The intellectual property rights generated by the information content (including but not limited to text, pictures, images, audio, video and/or music, sound, dialogue in audio) uploaded, published, transmitted or disseminated by you when using the Tianyan Search service belong to you or the original copyright owner, and the relevant responsibilities shall be borne by the obligee. However, your publishing, uploading, transmission or dissemination will be deemed as a free grant to Tianyancha for the above information to be permanent, non exclusive, irrevocable Sublicensable and sublicensable rights of use (including but not limited to: reproduction right, broadcasting right, information network transmission right, filming right, adaptation right, translation right, compilation right and other licensable rights and neighboring rights that should be enjoyed by the copyright owner).
2. In order to continuously improve and provide better services to users, if you are an enterprise user, you agree to use your name, trade name, trademark and other information or logo in Tianyancha's series of products, activities and/or other promotional activities.
3. You agree to grant Tianyancha complete right of prosecution. Tianyancha has the right to collect evidence and file a lawsuit on behalf of itself against the infringement of intellectual property rights of the text, pictures, videos and other information content created, uploaded and released by you on this platform.
4. The software, technology, materials used in the Tianyancha service and the information released by the platform are protected by the Copyright Law of the People's Republic of China, the Patent Law of the People's Republic of China, other laws and regulations related to intellectual property rights and relevant international conventions. Without the prior written permission of Tianyancha, you shall not copy, publish, distribute, publicly display, encode, translate, transmit or distribute the above information to any other computer, server, website or other media, nor encourage or assist others to copy, modify, reverse engineer, reverse compile or disassemble Disassemble or attempt to tamper with all or part of the aforementioned data and information of Tianyancha, or create derivatives by using the aforementioned data and information of Tianyancha.
5. If you think that Tianyancha has had an improper impact on your intellectual property rights, you can submit rights protection materials through the relevant provisions of Tianyancha's complaint guidelines. Tianyancha will judge the rationality and legality of your requirements and materials, and give timely feedback.
6. You are not allowed to publish any content in Tianyancha that infringes others' intellectual property rights such as copyright and trademark rights or other legal rights (such as portrait rights and privacy). If you have any infringement in the process of using the Tianyan Search service, or a third person finds that the information you publish is suspected of infringement, If Tianyancha is required to delete the information you released or take other necessary measures to stop it, we will take cooperation measures according to law and have the right to block and/or terminate the Tianyancha account of the relevant users.

9、 Protection of minors

1. Our products and services are not for minors. If you are a minor under the age of 18, you should carefully read this agreement under the guardianship, guidance and consent of your guardian before using the Tianyan search service.
2. Tianyan Check attaches great importance to the protection of minors' personal information. When you fill in your personal information, please strengthen your awareness of personal protection and treat it with caution, and use the Tianyan Check service correctly under the guidance of your guardian.
3. Under the supervision and guidance of their guardians, minor users should correctly use the network within a reasonable range, develop good Internet habits, and avoid indulging in virtual cyberspace. Juvenile users must abide by the National Convention on Youth Internet Civilization when using the Tianyan search service, improve safety awareness and strengthen self-protection:
   (1) Be good at online learning and not browse bad information;
   (2) Be honest and friendly in communication, and do not insult or cheat others;
   (3) We should enhance the awareness of self-care, and not casually date online friends;
   (4) It is necessary to maintain network security and not destroy network order;
   (5) It should be beneficial to physical and mental health and not indulge in virtual space and time.
4. If the minor user violates the laws, regulations, rules, regulatory documents of the regulatory authorities or this Agreement and other supplementary agreements to be observed, the minor user and its guardian shall bear all legal liabilities arising therefrom in accordance with the law.
5. In order to better protect the privacy rights and interests of minors, Tianyancha reminds you to carefully publish the content containing the materials of minors. Once published, it will be deemed that you agree to Tianyancha and related services to display the information, portraits and other content of minors, and allow the company to use and deal with such content related to minors in accordance with this agreement.
6. If an adult who has reached the age of 18 does not have full civil capacity for any reason, refer to the relevant provisions of this Agreement on the protection of minors.

10、 Liability for breach of contract

1. According to laws, regulations and regulatory requirements, The data and service information provided by Tianyancha when providing services to you and/or obtained by you when using Tianyancha services should be stored and/or used only within the territory of the People's Republic of China (only for the purpose of this agreement, excluding Hong Kong Special Administrative Region, Macao Special Administrative Region and Taiwan Region of China), and you should not allow overseas institutions Organization or individual queries, fetches, downloads, and exports; At the same time, you shall not use the data and service information provided by Tianyancha to engage in any act in violation of laws, regulations or other regulatory policies, nor violate any agreement of this agreement. All consequences arising therefrom shall be borne by you, and you shall fully compensate Tianyancha for the loss of goodwill, corporate image, etc
2. You may not sell or otherwise provide the service information you obtained when using the Tianyancha service or the service itself to a third party for profit. Otherwise, Tianyancha has the right to stop providing services to you, and you should pay liquidated damages equivalent to the benefits you get from the aforesaid resale behavior.
3. If Tianyancha finds or receives complaints from others that you have violated laws and regulations, regulatory policies and/or this Agreement, Tianyancha has the right to delete and block the contents of the violations, and restrict the illegal accounts, including but not limited to warnings, restrictions or bans on the use of functions, cancellation of the proceeds from the violations, and even blocking and cancellation of the accounts, depending on the relevant circumstances, And announce the handling results. The aforesaid handling behavior does not require your prior consent. If you have any losses or adverse consequences as a result of this, you should bear it yourself.
4. Tianyancha has the right to take appropriate legal action (including but not limited to reporting to the regulatory authority, filing a lawsuit, etc.) against violations of relevant laws and regulations and the agreement based on reasonable judgment, and save relevant information as evidence of your violation according to laws and regulations. You shall bear all legal liabilities arising therefrom alone.
5. In order to ensure that users can better use the Tianyancha service, when you have the aforementioned dispute or are involved in a dispute, Tianyancha has the right to provide relevant records and necessary information in the system such as the subject information, contact information, complaint related content of the disputing party to the relevant parties or departments without prior notice or consent.
6. You know and agree that you should be independently responsible for any claim or claim of a third party caused by your violation of relevant laws and regulations, regulatory policies and/or the contents of this Agreement; Therefore, if Tianyancha suffers any loss, you should compensate for it together.
7. Tianyancha has the right, based on unilateral independent judgment, to take measures against you, including but not limited to account number sealing and IP sealing, when it believes that you may violate this Agreement or endanger national security, public security, social public interests, Tianyancha's legitimate rights and interests or the legitimate rights and interests of a third party Address, suspend or terminate the provision of part or all of the services under this agreement and other measures, without refunding any fees (if any), and pursue legal liability, and all consequences arising therefrom shall be borne by you. If any loss is caused to any subject, you should bear the responsibility independently; If Tianyancha suffers losses from this, you should also compensate Tianyancha for all direct or indirect losses, including but not limited to goodwill, economic benefits and other losses.

11、 Limitation of liability

1. Due to "force majeure", including but not limited to: government injunctions, changes in existing laws or regulations, fires, earthquakes, plagues, wars, power outages, communication line interruptions, technical adjustments of telecommunications departments, temporary closure of websites due to government regulation and other unforeseen, inevitable, insurmountable and uncontrollable events that affect the normal operation of the network; As well as "technical events", including but not limited to: information and data delays, delays or errors caused by others' intentional destruction, hacker attacks, computer viruses, system maintenance, system upgrading, equipment compatibility errors, network overload and other technical problems, which cause Tianyancha to be unable to access, Tianyancha is not responsible.
2. You know and agree that due to the Internet nature of the Tianyan Search service, each link of the service will inevitably be affected by relevant uncertainties (such as the telecommunications operator, network quality, the model and system of the equipment you use, your geographical location, etc.). If you cannot use the Tianyan Search service normally due to the aforementioned uncertainties, Tianyancha shall not bear any responsibility.
3. To the extent permitted by law, Tianyancha will not be liable to you for the following circumstances:
   (1) Any loss of profits you have suffered (whether directly or indirectly);
   (2) Any loss of goodwill suffered by you;
   (3) Any loss of opportunity you suffer;
   (4) Any data loss you suffer;
   (5) Any indirect or incidental losses you may incur;
   (6) Any loss or damage you incur as a result of:
   

   a. Any reliance on the integrity, accuracy or existence of any advertisement, or any relationship or transaction between you and any advertiser or sponsor who publishes advertisements on this platform;

   b. Any change or adjustment made by the platform to the Tianyan search service in accordance with this agreement, or the temporary suspension of the Tianyan search service (or any function in the Tianyan search service);

   c. You failed to provide the platform with accurate personal information, account and other information;

   d. You failed to guarantee the security and confidentiality of your Tianyan account password or account information;

   e. Other losses caused by your personal fault or reason.

4. In the process of using Tianyancha service, you may encounter risks caused by network information or other user behaviors. Tianyancha will not be responsible for the authenticity, applicability and legality of the above information or behaviors, nor will it be responsible for any damage caused to you due to infringement. These risks include but are not limited to:
   (1) Information containing threatening, libelous, offensive or illegal content from others anonymously or anonymously;
   (2) Suffer from any psychological, physical injury and economic loss caused or likely to be caused by others' misleading, cheating or other reasons;
   (3) Other risks caused by network information or user behavior.
5. Tianyancha's right to deal with illegal and irregular content obtained according to this agreement does not constitute Tianyancha's obligation or commitment, and we cannot guarantee that we will find illegal acts in time or deal with them accordingly.
6. The amount of any loss liability borne by Tianyancha is limited to the amount paid by you or your corresponding enterprise users to Tianyancha in the past 12 months. Even if you have informed in advance, or Tianyancha should have been aware of any related losses, our liability to you also applies to this restriction.

12、 Disclaimer

13、 Effectiveness, change and termination of the agreement

1. When you use the Tianyan search service, you will be deemed to have read and accepted the restrictions of this agreement.
2. Tianyancha has the right to adjust the contents of this Agreement and/or relevant supplementary agreements according to its own operation and notify you in the form of announcement seven days in advance. The announcement will be deemed to have been delivered on the day it is issued. If you do not accept the adjustment, you should stop using the Tianyan search service, otherwise you will be deemed to have known and accepted the adjustment.
3. In case of any change, update or supplement to this Agreement, the old version replaced will automatically become invalid after such change, update or supplement takes effect. If your and Tianyancha's behavior occurred before the effective date of this Agreement and/or the relevant supplementary agreement, the agreement at that time shall apply; If it occurs after the effective date of this Agreement and/or relevant supplementary agreements, this Agreement and/or relevant supplementary agreements shall apply.
4. If you use paper contracts, purchase orders or other paper documents (hereinafter collectively referred to as“ Paper contract ”）You can also obtain the user identity of Tianyancha, enjoy the rights under this agreement, and perform the obligations under this agreement. Matters not covered in the paper contract shall be subject to the agreement.
5. This agreement will terminate automatically after you cancel the account of Tianyan Check. After the termination of this Agreement, except as expressly provided by law, Tianyancha has no obligation to disclose any information in your account to you or a third party designated by you.
6. After the termination of this agreement, Tianyancha still has the following rights:
   (1) To the extent permitted by law, continue to retain all or part of the information you retained in Tianyan;
   (2) For your past breach of contract, you can still be held liable for breach of contract according to this agreement.

14、 Others

1. The conclusion, execution, interpretation and dispute settlement of this Agreement shall be governed by the laws of the mainland of the People's Republic of China (excluding conflict laws). We will negotiate with you to settle any dispute arising from your use of the Tianyan Search service; If the negotiation fails, each party may bring a lawsuit to the people's court with jurisdiction in the place where this agreement is signed.
2. The headings of all clauses in this Agreement are for convenience only and have no actual meaning in themselves, and cannot be used as the basis for interpretation of the meaning of this Agreement.
3. If any clause in this Agreement is deemed invalid, revocable or unenforceable for any reason, this clause shall not affect the validity and enforceability of any other clause.
4. Other rights not expressly authorized in this agreement are still reserved by Tianyancha. You must obtain Tianyancha's written permission when exercising these rights. Any of the above rights that Tianyancha has not exercised does not constitute a waiver of these rights.
5. This agreement is signed in Haidian District, Beijing, the People's Republic of China.
