We will provide you with services in strict accordance with this Agreement and various service rules, including but not limited to the text of this Agreement and various policies, statements, notices, warnings, prompts, instructions, etc. that have been issued or may be issued in the future. Any provision of this Agreement is deemed invalid, invalid or unenforceable, and such provision shall be deemed separable and shall not affect the validity and enforceability of the remaining provisions of this Agreement. Other rights not expressly authorized in this agreement are still reserved by us, and you must obtain our written permission when exercising these rights. If we fail to exercise or delay in exercising any of the above rights, it does not constitute a waiver of such rights.

You understand and agree that, in order to provide better services for you, we may modify and update this Agreement and various service rules at any time (including but not limited to developing new products and / Or service terms and modification of existing terms). Once the agreement or service rules are changed, we will check the balance between the products and / Or the service and notify you. The amended agreement shall come into force after the publicity period and replace the original agreement. If you disagree with the change, you have the right to contact us for feedback before the effective date of the change; If the feedback is adopted, we will adjust the changes as appropriate. I   Service description

1. 1. Intelligent accounting products and / Or the service provides web pages, software clients PC Client, WeChat applet, WeChat public account, WeChat service account and other enterprise services such as financial and tax services, industrial and commercial agency.
2. 2. Unless otherwise specified, for the current accounting products and / Or the enhancement and improvement of services, including the provision of new products, based on your consent, this agreement will apply. We are constantly enriching the accounting products and / Or the form and terminal of the service. Based on your consent, this agreement and the service rules will automatically apply to Huisuan products and / Or other software and versions of the service. However, we have the right to manage different accounts under the same user name individually or as a whole.

The specific services we provide may be subject to / Or different service versions. In product and / Or before the service version is updated, we will check the accounting products and / Or timely publish and notify you on the service.

3. 3. In order to use the accounting products and / Or services, users must equip themselves with equipment necessary for accessing the Internet, including computers, data machines or other access devices. You know and understand that we need to regularly or irregularly / Or the service platform or related equipment for repair, upgrade, modification, transfer or maintenance. If the service is interrupted within a reasonable time due to such circumstances, we do not have to bear any responsibility for this, but we will try our best to notify you in advance.
4. 4. Huisuan products and / Or services may be linked to other third-party services. Your accounting products and / Or the use of products and services provided by a third party / Or services, in addition to complying with this agreement, should also comply with the third party's user agreement. Huisuan and the third party shall be respectively responsible for the possible disputes within the legal provisions and the agreed scope. We do not guarantee the availability of third-party services. If a third-party paid service is involved, you can choose whether to use it and bear the cost. We are not liable for any loss or damage arising from the use or reliance on third-party services.

 

II   Account usage specification

（ one ）   register

1. 1. The user registers a smart accounting product and / Or service account shall comply with the following requirements:

one ）      Provide complete, true, accurate and up-to-date personal data, and shall not register with false or falsely used resident identity information or enterprise related information;

two ）      If there is any change in the registration data, the user should update it in time to ensure the accuracy of the information;

three ）      Without the authorization of the relevant obligee, the user shall not register an account in the name of others or other organizations;

four ）      Do not register in a way that may cause other users to mistake;

five ）      Not to register in a way that may infringe upon the legal rights or legitimate rights and interests of others;

six ）      After registering and using Huisuan products and / Or service, users should ensure that they have full capacity for civil rights and civil conduct If the user registers on behalf of a legal entity or other legal entity, he/she should promise that he/she has the right to act as an agent for and on behalf of such legal entity or other legal entity, and bear all responsibilities for his/her registration and account use.

seven ）      If the user provides any wrong or untrue information, which is known to us; Or if we have reasonable reasons to suspect that the above information is wrong or untrue, we have the right to suspend or terminate your account registration, without assuming any responsibility to you or any third party, and the loss caused thereby shall be borne by the user independently; If this causes our losses, we have the right to require users to bear the liability for damages.

1. 1. The user is using the smart accounting product and / Or services shall strictly comply with Article 3 of this Agreement "User Code of Conduct".

（ three ）   Account security

1. 1. Once the user has successfully registered, it will become a smart accounting product and / Or the legitimate user of the service will get a password and account. The user shall not disclose the account information to any other person, and is obligated to ensure the security of the password and account. The user is fully responsible for all activities carried out by using the password and account, and for any loss or damage arising therefrom. If the user's password and account are used without authorization or any other security problem occurs, the user can immediately notify us through the contact information provided in the "Special Reminder" of this agreement, and we will fifteen The verification and handling shall be completed within working days.
2. 2. After you use it, make sure to close the application and exit the account on a non personal terminal. We will not assume any responsibility for account security problems caused by your improper operation.
3. 3. The account name cannot be changed after it is successfully created, but the password can be modified.
4. four Users should keep their accounts properly and operate with caution. Do not click on untrusted links or share accounts with others to avoid being attacked by Trojan viruses or malicious programs; Users are not allowed to buy, sell, transfer, lease, donate, lend account numbers or in any other way permit non registered users to log in or use the products and / Or service system.
5. 5. Any third party who holds your account and password / Or any legal liability, rights and obligations that may arise from any transaction initiated and handled by the service shall be borne by you. All operations using your account number and password shall be deemed as your own behavior, and the resulting electronic information records shall be effective evidence of your rights and obligations. You promise that you will not refuse to bear legal liability on the ground that its executive operators do not have the authority to initiate and deal with relevant transactions.
6. 6. Users shall not make, release, use or disseminate the products for stealing the accounting products and / Or service account, personal information and property of others.
7. seven We may irregularly confirm or authenticate the user's identity, and such confirmation or authentication will not be notified separately. During the confirmation period, if your account fails to pass the confirmation, we reserve the right to cancel or freeze your account.
8. 8. We can provide users with various types and levels of smart accounting products and / Or services, you are using different kinds of Huizhang products and / Or service may be required to submit different information, you are using a higher level of Hui accounting products and / Or you may be required to submit more information during the service. For details, please refer to the Personal Information Collection and Use Consent.

 

III   User behavior specification

1. one The user agrees to abide by the Law of the People's Republic of China on Guarding State Secrets, the Regulations of the People's Republic of China on the Security Protection of Computer Information Systems, the Regulations on the Protection of Computer Software and other relevant laws and regulations. If we have reasonable reasons to believe that the user's behavior may violate the above laws and regulations, we can terminate the service to the user without prior notice.
2. 2. The user is using the smart accounting product and / Or service, the following behaviors shall not exist:

one ）      Upload, send, disseminate and store any content that violates the Constitution of the People's Republic of China, the Law of the People's Republic of China on Guarding State Secrets, the Regulations of the People's Republic of China on the Security Protection of Computer Information Systems and other laws and regulations, as well as public morality;

two ）      Uploading, sending, spreading and storing anything that endangers national security, divulges state secrets, subverts state power and undermines national unity; Damage to national honor and interests; Inciting national hatred and discrimination, and undermining national unity; Those who undermine the state's religious policy and promote heresy and feudal superstition; Spreading rumors, disrupting social order and destroying social stability;

three ）      Uploading, sending and disseminating any illegal, harmful, coercive, harassing, infringing, slandering, vulgar, obscene, defamatory, obscene, infringing on others' privacy, racial discrimination or other objectionable content, including but not limited to information, data, text, software, music, photos, graphics, information or other materials;

four ）      Harm minors in any way; Insult or slander others, and infringe upon the lawful rights and interests of others;

five ）      Impersonate others or other institutions, or falsely claim or mislead others to be related to others or other institutions;

six ）      Forge the title or manipulate the identification data in other ways, so that people mistakenly believe that the content was sent by us;

seven ）      Upload, email or otherwise disseminate the content (such as internal information and confidential information) that is not authorized to be sent;

eight ）      Uploading, sending emails or other means of dissemination of content that infringes on others' patents, trademarks, copyrights, trade secrets or other exclusive rights;

nine ）      Upload, send e-mail or spread in other ways advertising letters, promotional materials, spam, etc;

ten ）   Uploading, sending e-mail or other means of dissemination of information about software viruses or other computer codes, files and programs that interfere with, damage or restrict the functions of any computer software, hardware or communication equipment;

eleven ）   Disturbance or destruction of Hui's accounting products and / Or services or related servers and networks, or does not comply with the accounting products and / Or regulations on the use of the service network;

twelve ）   Violation of any relevant Chinese laws, regulations, rules, regulations and other norms with legal effect.

3. 3. Users' opinions on the accounting products and / Or the content uploaded by the service. For users who use the accounting products and / We do not guarantee the correctness, integrity or quality of the content uploaded, sent or transmitted by the service. The user is accepting the accounting products and / Or services, if you come into contact with unpleasant, inappropriate or offensive content, please contact us in a timely manner.
4. 4. We have the right to check the accounting products and / Or any content uploaded by any third party or user included in the service, and decide whether to reject or delete it at its own discretion.

 

IV   User data and personal information protection

You understand and agree that we will collect, use, store, manage and protect your personal information in accordance with this Agreement and the Personal Information Collection and Use Consent (hereinafter referred to as the "Consent").

If you cannot accept all or part of the terms of the consent form, or have questions about the content of the consent form, please immediately stop using and exit, or you can contact us according to the way provided in the "Special Reminder".
3. 3. This agreement also includes the Personal Information Collection and Use Consent. If you are using a special Dinghui accounting product and / Or service, the product and / Or services may have separate agreements, relevant business rules, etc. Once published, the above contents will be an integral part of this agreement. It is recommended that you carefully read, agree and abide by them.

 

V   network security

1. 1. Users shall not carry out other accounting products and / Or service data security.
2. 2. You shall not use any means (including but not limited to third-party software, plug-ins, plug-ins, systems, equipment, etc.) to check the accounting products and / Or the service interferes, destroys, modifies or exerts other influence.
3. 3. Maintaining the safety and normal use of software is the joint responsibility of us and users, but it does not mean that we provide any guarantee in this regard.
4. 4. Users should use the smart accounting products and / Or the enterprise information contacted, collected and processed in the service process shall be kept confidential. If the enterprise information is disclosed, spread or leaked for reasons other than our own, the user shall be responsible for handling and bear all the responsibilities and consequences. We cannot and will not be responsible for any loss or damage caused by the above circumstances.

 

VI   intellectual property right

1. 1. Except for third-party products and / Or services, our products and / Or services, including but not limited to pictures, files, information, data, architecture, network / The product page design, computer code, etc., are legally owned by us, our affiliated enterprises or our cooperative enterprises, including but not limited to trademark rights, patent rights, copyrights, trade secrets, etc., which are protected by Chinese laws and regulations and corresponding international treaties. All intellectual property rights and relevant rights and interests we enjoy will not be transferred due to any use of your rights.
2. 2. Unless permitted by law or with our prior written permission, you are using Huisuan products and / Or shall not engage in the following activities during the service:

one ）      Delete Hui's accounting products and / Or copyright information on the service;

two ）      Duehui accounting products and / Or services for reverse engineering（ reverse engineer ）, reverse compilation（ decompile ）Or Disassembly（ disassemble ）Or try to find out about Hui's accounting products and / Or the source code of the service;

three ）     Modify, lease, lease, lend, sell, distribute, copy, link, reprint, compile, publish, publish our intellectual property products and / Or services, or related products and / Or create derivative works based on services, or use relevant products and / Or services, including but not limited to encroaching on network capacity or overloading network capacity;

four ）      Duehui accounting products and / Or services or smart accounting products and / Or data released to any terminal memory during service operation, interactive data between client and server during software operation, and smart accounting products and / Or the system data necessary for service operation to copy, modify, add, delete, sell or create derivative products, including but not limited to the use of plug-ins, plug-ins or third-party systems not authorized by us to access Huisuan products and / Or services and related systems;

five ）      Modify or forge the instructions and data in the software operation, add, delete, change the function or operation effect of the software, or operate or disseminate the software and methods used for the above purposes to the public, whether for commercial purposes or not;

six ）      Log in or use our software and services, or create, publish, and disseminate the above tools through third-party software, plug-ins, plug-ins, and systems not developed or authorized by us;

seven ）      Self or authorized others, third-party software / Or services and their components, modules and data;

eight ）      Other behaviors without our explicit authorization or in violation of laws and regulations.

3. 3. You understand and agree that / Or the content uploaded and published on the service, we are granted an irrevocable, worldwide, exclusive license to use the above content for free until the end of the protection period, and we have the right to use, modify, adapt, save, copy, distribute, modify and publish the above content for the service purpose of displaying, distributing and promoting the above posted content, And has the right to collect evidence and bring a lawsuit against the third party's infringement in its own name.
4. 4. You are using Huisuan products and / Or the intellectual property rights (if any) of any content such as text, picture, audio, video, etc. uploaded and released during the service process belong to you or the original copyright owner. The user shall be fully responsible for any damage or loss arising from any claim made by any third party due to the user's aforementioned upload and release behavior. If any third party claims the rights and interests of the authorized content from us, you should actively defend against the third party for us, or provide necessary cooperation and assistance for us to defend against the third party according to our requirements (including but not limited to providing the right supporting documents, materials, information, etc. related to the authorized content); If the content you upload has infringement problems or any other right defects that cause losses to us, you should compensate us for all the losses we have suffered, and eliminate the adverse effects caused to us by the infringement or right defects of the aforementioned authorized content.
5. 5. If you are using Huisuan products and / Or any content uploaded or released in the service process violates the agreement of this agreement or the provisions of laws and regulations (including but not limited to intellectual property laws and regulations), Huisuan has the right to require you to / Or services. If you do not comply, you may lose access to the service or account, or the account may be frozen or cancelled. In addition, if Huisuan determines that your content has violated this Agreement or the provisions of laws and regulations, or receives a complaint of intellectual property infringement from a third party, Huisuan may delete your content according to the requirements of laws and regulations without seeking your opinions. Huisuan has the right to make independent judgment and take technical measures to delete, block or disconnect the link. At the same time, Huisuan has the right to take measures, including but not limited to suspending or terminating the service, restricting, freezing or terminating the use of the account, and pursuing legal liabilities, depending on the nature of the user's behavior.

 

6. 6. For the content uploaded by users, we recommend users to back it up irregularly. The user understands and agrees that if the user actively stops using the account cancellation function / Or services or smart accounting products and / Or if the service is terminated or cancelled, we will delete the relevant content and information of the account. If you have any questions, you can contact us through the way provided in "Special Reminder", and we will fifteen The verification and handling shall be completed within working days.
7. 7. You are responsible for self backup and storage in this product and / Or data in the service. If you purchase products and / Or if the service is terminated, unless otherwise specified by law, Huisuan can permanently delete your data from the server without assuming any responsibility. Unless otherwise stipulated by law or agreed by both parties, Huisuan has no obligation to return data to you after the termination of the service.
8. 8. We have the right to review, supervise and handle the content uploaded by users.

 

VII   Liability for breach of contract

1. one If the user violates this agreement and conducts transactions for commercial purposes such as resale, we have the right to cancel the relevant transactions and terminate the provision of smart accounting products and / Or services; If we suffer losses as a result of this, we have the right to ask the user to compensate us for all losses caused thereby.
2. 2. If the information provided by the user is untrue, incomplete or inaccurate / Or services, we have the right to require users to compensate for the losses caused to us, and reserve the right to refuse to provide services, screen, disconnect links, delete user accounts and other rights to the extent permitted by law.
3. 3. If the user violates laws and regulations or this agreement / Or services or use of Hui's accounting products and / Or services engaged in illegal activities, we have the right to immediately terminate the provision of smart accounting products and / Or services, take the right to block, disconnect the link, log off the user account, and claim compensation for all losses caused to us.
4. 4. If the user interferes with Hui's accounting products and / Or the operation of the service or interfere with other users' use of Hui's accounting products and / Or services, we have the right to immediately cancel their account, and have the right to claim compensation for all losses caused to us.
5. 5. If the user maliciously slanders Huisuan products and / Or the commodity reputation or business reputation of the service, we have the right to take measures such as blocking, disconnecting links, deleting user accounts, and have the right to terminate the provision of smart accounting products and / At the same time, users are required to apologize publicly and compensate for all the losses they have caused us.
6. six If the user violates other relevant laws and regulations or this agreement, we have the right to, Take measures for breach of contract (including but not limited to deleting, blocking and disconnecting the relevant content, and imposing punishment on the offending account, including but not limited to warning, restricting or prohibiting the use of part or all of the functions, blocking and canceling the account, and announcing the treatment results).
7. seven If your behavior causes us to suffer all losses (including but not limited to property damage compensation, goodwill loss, external compensation, liquidated damages, settlement payments, attorney fees, legal fees and other reasonable expenses incurred for rights protection), you should compensate us for all the above losses. If your behavior causes us to suffer from the claims of a third person, we can recover all losses from you after assuming the obligation of paying money to the third person.

 

VIII   Limitation of liability

1. one The specific responsibility agreement between us and the user shall be subject to the agreement of the specific service purchased. Unless otherwise agreed in such specific agreement, in any case, the total amount of our liability for compensation under this agreement shall not exceed the total amount of fees we charge for providing services to you.
2. 2. We do not guarantee (including but not limited to):

one ）      Huisuan products and / Or the service is suitable for the user's use requirements;

two ）      Huisuan products and / Or the service is not disturbed, timely, safe, reliable or error free;

three ）      Any products and / Or services or other materials meet the user's expectations.

3. We provide services to users to ensure the consistency and security of services, but we cannot foresee and prevent legal, technical and other risks at any time. If the performance of this agreement is impossible, unnecessary or meaningless due to force majeure or other accidents, the party suffering from force majeure or accidents shall not be liable.

Force majeure and accidents refer to unforeseeable, insurmountable and unavoidable objective events that have a significant impact on one or both parties, including but not limited to natural disasters such as fire, flood, earthquake, explosion, plague, new coronavirus, and social events such as war, turmoil, government actions, interruption of telecommunications trunk lines, hackers, network congestion The technical adjustment and government regulation of the telecommunications sector, the inability of both parties to continue to perform this Agreement due to the relevant mandatory regulations and requirements of the government, and the occurrence of other major events or emergencies.

4. 4. Huisuan products and / Or the service is provided according to the current situation of the existing technology and conditions. Huisuan will try its best to ensure the continuity and security of the service, but cannot foresee and prevent legal, technical and other risks at any time. Huisuan will be exempted from liability for such risks within the scope permitted by law, including but not limited to force majeure, viruses, trojans, hacker attacks, system instability, third-party service defects Service interruption, data loss and other losses and risks that may be caused by government actions.
5. 6. Users who use non smart accounting products and / Or any materials downloaded or obtained by the service, at its own risk; The user shall be fully responsible for any damage to the user's computer system or loss of data caused by such use.
6. six We will not bear any direct, indirect, incidental, derivative or punitive compensation for loss of profits, commodity reputation, business reputation, data or other tangible or intangible losses caused by the following reasons:

two ）      The user's data is used or modified without authorization due to improper storage;

three ）      Other accounting products and / Or services.

7. seven Your account and the use rights and interests in your account are lost, reduced, and / Or if you are unable to retrieve your account or use rights in your account due to your lack of identity authentication or untrue authentication information, or any loss caused by the disclosure of your account information, password loss or disclosure, you shall bear your own responsibility, and we will not bear any legal responsibility.
8. eight You understand and agree that we have the right to make business changes, adjustments and technical changes at our own discretion for the needs of the overall operation, and have the right to modify or interrupt, suspend or terminate this product and / Or services without notifying you, or being responsible or liable for any compensation to you or a third party, unless otherwise stipulated by law or agreed by both parties.
9. nine According to the requirements of laws and regulations, we have the right to delete, block or disconnect the link according to the circumstances for any content that you violate or are suspected of violating Chinese laws or this agreement in our own judgment; Stop providing services for you or ban your account; And has the right to keep relevant information and report to relevant government departments in accordance with Chinese laws and regulations.
10. ten We only bear the direct responsibility expressly agreed in this agreement. No matter whether it is foreseeable or not, no matter what form of behavior it comes from, under no circumstances will we be liable for special, indirect, punitive, sudden or causal damages or any other damages (including but not limited to loss of profits or interests, business interruption, loss of information) caused by any reason. The limitation of liability in this article also applies to the directors, senior managers, employees, affiliated companies, agents, contractors, subcontractors or licensors of Huisuan.
11. 11. You understand and agree that when using Huisuan products and / In the process of or service, you may encounter risks caused by network information or other user behaviors. You should use your own discretion to judge that we will not be responsible for the authenticity, applicability, and legality of any information, nor will we be responsible for the use of smart accounting products and / Or the service causes you to bear any legal liability for any harassing, threatening, defamatory, offensive, infringing or illegal information or dissemination that you may receive from non Huisuan. These risks include but are not limited to: information containing threats, slanders, offensive or illegal content from others who are anonymous or pseudonymous; Due to the use of products and / Or service, suffering from any psychological, physical injury and economic loss caused or likely to be caused by others' misleading, cheating or other reasons; Other risks and responsibilities caused by network information or user behavior.

 

IX   About products and / Or service advertisement

1. one You agree that Huisuan can send and display advertisements or other information (including commercial information and non-commercial information) to you by itself or through a third party through SMS, e-mail or electronic information, and the specific form, frequency and content of sending and displaying advertisements or other information shall be subject to the actual provision of Huisuan.
2. 2. Huisuan will carry out advertising business in accordance with relevant laws and regulations. You agree that, for Hui's accounting products and / Or the advertisement appearing in the service, you should carefully judge its authenticity and reliability, and you should be responsible for the behavior carried out due to the advertisement, unless explicitly stipulated by law.

 

X   Amendment and Termination of the Agreement

3. 3. The user has the right to cancel the account of Huisuan. In this case, the user can check the specific Huisuan products and / Or services, this Agreement shall terminate on the date of account cancellation.
4. 4. We have the right to terminate Hui's accounting products and / Or services, this agreement, Yuhui accounting products and / Or the date when the service is terminated according to the legal procedures and methods. In this case, we will pay 30 days in advance / Or the relevant information is continuously publicized in the prominent position of the service. Upon the termination of this Agreement, you shall stop accounting products and / Or any use of the service. You agree that we will not terminate the accounting products and / Or services.
5. 5. We have the right to temporarily or permanently modify, interrupt or terminate the accounting products and / Or services (or any part thereof) without any liability to the user or any third party:

one ）      The user violates laws, regulations, national policies or the agreement;

two ）      According to the requirements of relevant government departments;

three ）      Users fail to pay relevant service fees for the charging services they use as required when using the charging services;

four ）      Users damage our goodwill or reputation and other legitimate rights and interests in any way;

five ）      Users infringe upon the legitimate rights and interests of individuals, enterprises, institutions or social organizations, including but not limited to patent rights, copyrights, trademark rights, or name rights, name rights, reputation rights, honor rights, portrait rights, privacy rights, etc;

six ）      Other circumstances that may cause the service to be modified, interrupted or terminated.
