Quartz Shares announced on the 21st that recently it received the Statement and Apology Letter on My Relatives' Stock Trading issued by Liu Mingwei, the director and deputy general manager of the company, and learned that Liu Shou'an, Liu Mingwei's father, had bought and sold the company's shares through centralized bidding during the period from December 20, 2022 to May 10, 2024.
According to the Securities Law and other relevant regulations, Liu Shouan, the immediate family member of the company's directors and senior managers, sold the company's shares within six months after buying them, or bought the company's shares within six months after selling them, which constituted short-term transactions.
Quartz Shares pointed out that Liu Shouan had bought 10500 shares (including 1000 shares last bought but not sold) in this short-term transaction, with a total purchase amount of 984800 yuan (including 1000 shares last bought but not sold), sold 9500 shares and a total sales amount of 905200 yuan. Liu Shou'an's cumulative income from the above short-term transactions is -6948.00 yuan.
As of the disclosure date of the announcement, Liu Shouan still held 1000 shares of quartz shares. Quartz shares said that no income was generated from this short-term transaction. The loss of the above short-term trading stocks was 6948.00 yuan, and all losses were borne by the individual.
Quartz said that it was verified that this short-term transaction was an illegal operation by Liu Shouan without fully understanding the relevant laws and regulations; Liu Shouan's buying and selling of the company's stocks is his own buying and selling behavior based on the information of the securities market and his personal judgment, which is purely a personal investment behavior; Liu Shou'an did not consult Liu Mingwei during the trading period (and Liu Mingwei did not inform Liu Shou'an of the company's business information and gave him no investment advice), nor did Liu Shou'an inform Liu Mingwei of the above trading behavior. Liu Shou'an did not violate the rules subjectively and intentionally, nor did he trade the company's shares because he learned insider information, nor did he use insider information to seek benefits.
Quartz also said that Liu Mingwei and his father Liu Shou'an had deeply realized the seriousness of this short-term transaction and said that they would strengthen the study of relevant laws and regulations in the future to prevent such incidents from happening again. Liu Mingwei deeply blames himself for failing to remind and supervise in time, and sincerely apologizes to the company and investors.
According to the official website of Quartz, the company was founded in 1992 and is a high-end quartz material deep processing enterprise integrating scientific research, production and sales.
In terms of finance, in the first quarter of 2024, the operating revenue of quartz shares reached 394 million yuan, a year-on-year decrease of 67.82%; The net profit attributable to shareholders of the listed company was 158 million yuan, down 80.70% year on year.
