Our mission is to make InCareer a leading job posting and job seeking platform in China that connects professionals to economic opportunities and allows them to be more productive and successful。InCareer Services（defined below）is powered by LinkedIn’stechnologies under the authorization of LinkedIn Corporation and its Affiliates（collectively，“LinkedIn”）。

1.1 Contract

When you use our InCareer Services you agree to all of these terms。InCareer Services is also subject to the Your use of InCareer Services is also subject to theChina Privacy Policy Addendum（“InCareer Addendum”），which covers how we collect，use，share，and store your personal information。

You agree that by clicking“Join Now”，“Join InCareer”，“Sign Up”or similar，registering，accessing or using InCareer Services，you are agreeing to enter into a legally binding contract with us（even if you are using InCareer Services on behalf of a company）。If you do not agree to this contract（“Contract”或“User Agreement”），do not click“Join Now”（or similar）and do not access or otherwise use any of InCareer Services。If you wish to terminate this Contract，at any time you can do by closing your account and no longer accessing or using InCareer Services。

InCareer Services

This Contract applies to InCareer apps，and other InCareer-related sites，apps，communications and other services that state that they are offered under this Contract（“InCareer Services”），including the offsite collection of data for those InCareer Services。Registered users of InCareer Services are“Members”and unregistered users are“Visitors”。

You are entering into this Contract withBeijing Lingyin Information Technology Co.Ltd。（also referred to as“we”and“us”）who is authorized by LinkedIn to operate the InCareer Services which are powered by LinkedIn’s technologies。

This Contract applies to Members and Visitors。

LinkedIn

As InCareer Services are powered by LinkedIn’s technologies，your InCareer account will be maintained on LinkedIn’s systems，and subject to your settings，can also function as an account on LinkedIn Services。Accordingly，the information and content you share with the InCareer Services may be transferred to LinkedIn outside of China。Certain features of the InCareer Services will also allow you to interact with similar features provided by LinkedIn Services，and you will have choices about wheter and how your InCareer profile may be seen and engaged with by LinkedIn members。For example，your InCareer profile can be connected with，and viewed by，selected LinkedIn members and recruiters，subject to your settings，and you can communicate with connections and recruiters in LinkedIn Services through the InCareer messaging feature。我的朋友们，我的朋友们，我的朋友们，我的朋友们LinkedIn’s Privacy Policy，including theInCareer Addendum. 

If you use LinkedIn’s services（“LinkedIn Services”），including LinkedIn.com and LinkedIn’s suite of apps，LinkedIn’s用户协议and，andLinkedIn’s Privacy Policyapply to you。

1.2成员和Visitors

When you register and join the InCareer Services，you become a Member。If you have chosen not to register for InCareer Services，you may access certain features as a“Visitor.”

1.3更改

We may make changes to the Contract。 

We may modify this Contract from time to time。If we make material changes to it，we will provide you notice through InCareer Services，or by other means，to provide you the opportunity to review the changes before they become effective。We agree that changes cannot be retroactive。If you object to any changes，you mayclose your account.Your continued use of InCareer Services after we publish or send a notice about out changes to these terms means that you are consenting to the updated terms as of their effective date。

2.Obligations

2.1服务可靠性

Here are some promises that you make to us in this Contract:

You’re eligible to enter into this Contract and you are at least our“Minimum Age.”

The InCareer Services are not for use by anyone under the age of 16。

（1）you must be the“Minimum Age”（16 years old）or older；（2）you will only have one InCareer account，which must be in your real name；and（3）you are not already restricted by us from using the InCareer Services。Creating an account with false information is a violation of our terms，including accounts registered on behalf of others or persons under the age of 16。


2.2 Your Account

You will keep your password a secret

You will not share an account with anyone else and will follow our rules and the law。

成员区account holders。You agree to：（1）use a strong password and keep it confidential；（2）not transfer any part of your account（e.g.，connections）to others and（3）follow the law and our list of Dos and Don’ts and LinkedIn’s专业公共策略where they apply to the InCareer Services。You are responsible for anything that happens through your account unless you close it or report misuse。

As between you and others（including your employer），your account belongs to you。However，if the InCareer Services were purchased by another party for you to use（e.g.Recruiter seat bought by your employer），the party paying for such InCareer Services has the right to control access to and get reports on your use of such paid InCareer Services；however，they do not have rights to your personal account。

2.3支付

You’ll honor your payment obligations and you are okay with us storing your payment information。You understand that there may be fees and taxes that are added to our prices。

Refunds are subject to our policy。

If you buy any of our paid InCareer Services，you agree to pay us the applicable fees and taxes and to additional terms specific to the paid InCareer Services。Failure to pay these fees will result in the termination of your paid InCareer Services。Also，you agree that：

  • Your purchase may be subject to foreign exchange fees or differences in prices based on location（e.g.exchange rates）。
  • We may store and continue billing your payment method（e.g.credit card）even after it has expired，to avoid interruptions in your InCareer Services and to use to pay other InCareer Services you may buy。
  • If you purchase a subscription，your payment method automatically will be charged at the start of each subscription period for the fees and taxes applicable to that period。To avoid future charges，cancel before the renewal date。 
  • All of your purchases of InCareer Services are subject to the applicable refund policy。
  • We may calculate taxes payable by you based on the billing information that you provide us at the time of purchase。

You can get a copy of your invoice through your InCareer account settings。

2.4通告和消息

You’re okay with us providing notices and messages to you through our websites，apps，and contact information。If your contact information is out of date，you may miss out on important notices。

You agree that we will provide notices and messages to you in the following ways:（1）within the InCareer Services，or（2）sent to the contact information you provided us（e.g.，email，mobile number，physical address）。You agree to keep your contact information up to date。

Please review your settings to control and limit messages you receive from us。

2.5 Sharing

When you share information on InCareer Services，others can see，copy and use that information。

InCareer Services allow messaging and sharing of information in several ways，such as your简介，job postings，and messages。Information and content that you share may be seen by other Members，Visitors or others（including off of the InCareer Services）。Where we have made settings available，we will honor the choices you make about who can see content or information。 

We are not obligated to publish any information or content on InCareer Services and can remove it with or without notice。

3.Rights and Limits

3.1。Your License to Us

You own all of the content，feedback，profile and other personal information you provide to us，but you also grant us anon-exclusive license to it。

We’ll honor the choices you make about who gets to see your information and content。

As between you and us，you own the content and information that you submit to the InCareer Services，and you are only granting us and our Affiliates the following non-exclusive license:

Aworldwide，transferable and sublicensable right to use，copy，modify，distribute，publish and process，information and content that you provide through InCareer Services and the services of others，without any further consent，notice and／or compensation to you or others。These rights are limited in the following ways：

  1. 用户服务部，或用户服务部，或用户服务部，或用户服务部，或用户服务部，或用户服务部，或用户服务部，或用户服务部，或用户服务部for the reasonable time it takes to remove from backup and other systems。
  2. We will not include your content and information in advertisements for the products and services of third parties to others without your separate consent。However，we have the right，without payment to you or others，to serve ads near your content and information，subject to theInCareer Addendum.If you use a InCareer Services feature，we may mention that with your name or photo to promote that feature within InCareer Services，subject to your settings。
  3. We will get your consent if we want to give others the right to publish your content and information beyond the InCareer Services。 
  4. While we may edit and make format changes to your content and information（such as translating or transcribing it，modifying the size，layout or file type or removing metadata），we will not modify the meaning of your expression。
  5. Because you own your content and information and we only have non-exclusive rights to it，you may choose to make it available to others，including under the terms of aCreative Commons license。

You and we agree that if content and information includes personal information，it is subject toLinkedIn’s Privacy Policy，including theInCareer Addendum。

You and we agree that we may access，store，process and use any information and personal information that you provide in accordance with the terms of theInCareer Addendum，and your choices（including settings）。

By submitting suggestions or other feedback regarding InCareer Services to us，you agree that we can use and share（but do not have to）such feedback forany purpose without compensation to you。

You promise to only provide information and content that you have the right to share，and that your InCareer profile will be truthful。

You agree to only provide content or information that does not violate the law nor anyone’s rights（including intellectual property rights）。You also agree that your profile information will be truthful。We may be required by law to remove certain or all content and information you share with the InCareer Services。

Affiliates are companies controlling，controlled by or under common control with us（“Affiliates”）。

3.2服务可用性

We may change or end any InCareer Services or modify our prices prospectively。

We may change，suspend or discontinue any of InCareer Services。We may also modify our prices effective prospectively upon reasonable notice to the extent allowed under the law。

We don’t promise to store or keep showing any information and content that you’ve shared。InCareer is not a storage service。You agree that we have no obligation to store，maintain or provide you a copy of any content or information that you or others provide，except to the extent required by applicable law and as noted in theInCareer Addendum。

3.3 Other Sites and Apps

Your use of others’content and information shared on InCareer Services，is at your own risk。

Others may offer their own products and services through InCareer Services，and we aren’tresponsible for those third-party activities。

By using the InCareer Services，you may encounter content or information that might be inaccurate，incomplete，delayed，misleading，illegal，offensive or otherwise harmful。You agree that we are not responsible for others’（including other Members’）content or information。We cannot always prevent this misuse of InCareer Services，and you agree that we are not responsible for any such misuse。 

We may help connect Members offering their services（career coaching，etc.）with Members seeking services。We do not perform nor employ individuals to perform these services。You must be at least18years of age to offer，perform or procure these services。You acknowledge that we do not supervise，direct，control or monitor Member in the performance of these services and agree that（1）we are not responsible for the offering，performance or procurement of these services，（2）we do not endorse any particular Member’s offered services，and，or joint venture relationship between us and any Member offering services。If you are a Member offering services，you represent and warrant that you have all the required licenses and will provide services consistent with the applicable requirements ofLinkedIn’s Professional Community Policies。

Similarly，we may help you register for and/or attend events organized by Members and connect with other Members who are attendees at such events。You agree that（1）we are not responsible for the conduct of any of the Members or other attendees at such events，（2）we do not endorse any particular event listed on InCareer Services，（3）we do not review and/or vet any of these events，and（4）that you will adhere to these terms and condithat ply to suy。

3.4限制

We have the right to limit how you connect and interact on InCareer Services。

We reserve the right to limit your use of the InCareer Services，including the number of your connections and your ability to contact other Member。We reserve the right to restrict，suspend，or terminate your account if you breach this Contract or the law or are misusing the InCareer Services（e.g.，violating any of the Dos and Don’ts or applicable requirements ofLinkedIn’s Professional Community Policies）。If you have a presence on both InCareer Services and LinkedIn Services，a restriction，suspension or termination of your InCareer Services or LinkedIn Services account pursuant this Contract，theLinkedIn’s Professional Community Policies或，或LinkedIn’s用户协议，will apply on both platforms。

3.5英特尔专业装备

We’re providing you notice about our intellectual property rights。

We and LinkedIn reserve all of our intellectual property rights in the InCareer Services。Trademarks and logos used in connection with the InCareer Services are the trademarks of their respective owners。 

3.6自动处理

We use data and information about you to make relevant suggestions to you and others。

We use the information and data that you provide and that we have about Members to make recommendations for connections and features that may be useful to you。For example，we use data and information about you to recommend jobs to you and you to recruiters。Keeping your简介accurate and up to date helps us to make these recommendations more accurate and relevant。

4.Disclaimer and Limit of Liability

4.1否Warranty

This is our disclaimer of legal liability for the quality，safety，or reliability of InCareer Services。

WE AND OUR AFFILIATES MAKE NO REPRESENTION OR WARRANTY ABOUT THE INCAREER SERVICES，INCLUDING ANY REPRESENTION THAT THE INCAREER SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE，AND PROVIDE THE INCAREER SERVICES AVAILABLE“BASIS。TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW，WE AND OUR AFFILIATES DISCLAIM ANY IMPLIED OR STATUTORY WARRANTY，INCLUDING ANY IMPLIED WARRANTY OF TITLE，ACCURAXY OF DATA，NON-INFRINGEMENT，MERCHANTABILITOR FITNESS FOR PARTIPRPUPUR。

4.2 Exclusion of Liability

These are the limits of legal liability we may have to you。

TO THE FULLEST EXTENT PERMITTED BY LAW（AND UNLESS WE HAVE ENTERED INTO A SEPARATE WRITTEN AGREEMENT THAT OVERRIDES THIS CONTRACT），WE，INCLUDING OUR AFFILIATES，WILL NOT BE LIABLE IN CONNECTION WITHIS CONTRACT FOR LOPROPROFITS OR LOST BUSINESS OPRTPORITION。FENSIVE OR DEFAMATORY STATEMENTS），LOSS OF DATA（E.G.，DOWN TIME OR LOSS，USE OF，OR CHANGES TO，YOUR INFORMATION OR CONTENT）OR ANY INDIRECT，INCIDENTAL，CONSEQUENTIAL，SPECIAL OR PUNITIVE DAMAGES。

WE AND OUR AFFILIATES WILL NOT BE LIABLE TO YOU IN CONNECTION WITH IS CONTRACT FOR ANY AMOUNT THAT EXCEEDS（A）THE TOTAL FEES PAID OR PAYABLE BY YOU TO US FOR THE INCAREER SERVICES DURAING THE TERM OF THIS CONTRACT，IF ANY，OR（B）RMB 6500。

4.3 Basis of the Bargain；Exclusions

The limitations of liability in this Section 4are part of the basis of the bargain between you and us and shall apply to all claims of liability（e.g.，warranty，tort，negligence，contract and law）even if we orour Affiliates have been told of the possibility of any such damage，and even if theremedies fail thefail。

These limitations of liability do not apply to liability for death or personal injury or for fraud，gross negligence or intentional misconduct，orin cases of negligence where a material obligation has been breached，a material obligation being such which forms a prequisite to our delivery of InCareer Services and on which you may reasonably rely，but only to the extent that the damages were directly caused by the breach and were foreseeable upon conclusion of this Contract and to the extent that they are typical in the context of Contract。

5.Termination

We can each end this Contract，but some rights and obligations survive。

Both you and we may terminate this Contract at any time with notice to the other。On termination，you lose the right to access or use the InCareer Services。热摩擦成形：

  • Our rights to use and disclose your feedback；
  • 成员和/或Visitors’rights to further re-share content and information you shared through the InCareer Services；
  • 分段4,6,7和8.2 of this Contract；
  • Any amounts owed by either party prior to termination remain owed after termination。

You can visit our帮助中心to close your account。You understand that if you have a presence on both InCareer Services and LinkedIn Services，account deletion or closure by you on either platform will apply on both platforms。

6.Governing Law and Dispute Resolution

In the unlikely event we end up in a legal dispute relating to this Contract and/or the InCareer Services，you and we agree to resolve it in Beijing courts with proper jurisdiction using the laws of the People’s Republic of China。

This section shall not deprive you of any mandatory consumer protections under the law。 

You and we agree that the laws of the People’s Republic of China，excluding its conflict of laws rules，shall exclusively govern any dispute relating to this Contract and/or the InCareer Services。You and we both agree that all claims and disputes can be litigated only in the courts with proper jurisdiction in Beijing，P.R.China，and you and we each agree to personal jurisdiction in those courts。

7.General Terms

Here are some important details about the Contract。

If a court with authority over this Contract finds any part of it unenforceable，you and we agree that the court should modify the terms to make that part enforceable whill achieving its intent。If the court cannot do that，you and we agree to ask the court to remove that unenforceable part and still enforce the rest of this Contract。

This Contract（including additional terms that may be provided by us when you engage with a feature of the InCareer Services）is the only agreement between us regarding the InCareer Services and supers all prior agreements for the InCareer Services。

If we don't act to enforce a breach of this Contract，that does not mean that we have waived our right to enforce this Contract。You may not assign or transfer this Contract（or your membership or use of InCareer Services）to anyone without our consent。However，you agree that we may assign this Contract to our Affiliates or a party that buys it without your consent。There are no third-party beneficiaries to this Contract。

You agree that the only way to provide us legal notice is at the addresses provided in Section10。

8.“Dos and Don’ts”

InCareer is a community of professionals。“Dos and Don’ts”along withLinkedIn’s Professional Community Policieslimit what you can and cannot do on InCareer Services。

8.1。Dos

You agree that you will:

  1. 可压缩窗，including，without limitation，privacy laws，intellectual property laws，anti-spam laws，export control laws，tax laws，and regulatory requirements；
  2. Provide accurate information to us and keep it updated；

  4. Use the InCareer Services in a professional manner。

8.2。Don’ts

You agree that you willnot：

  1. 创建a false identity on InCareer Services，misrepresent your identity，create a成员简介foranyone other than yourself（areal person），oruse or attempt to use another’s account；
  2. Develop，support or use software，devices，scripts，robots or any other means or processes（including crawlers，browser plugins and add-ons or any other technology）to scrape the InCareer Services or otherwise copy profiles and other data from the InCareer Services；
  3. Override any security feature or bypass or circumvent any access controls or use limits of the InCareer Services（such as caps on keyword searches or profile views）；
  4. 复制，use，disclose or distribute any information obtained from the InCareer Services，wheter directly or through third parties（such as search engines），without the consent of us；
  5. Disclose information that you do not have the consent to disclose（such as confidential information of others（including your employer））；
  6. Violate the intellectual property rights of others，including copyrights，patents，trademarks，trade secrets or other proprietary rights。（except through the available sharing functionality）the information and content of others without their permission；
  7. Violate our intellectual property or other rights，including，without limitation，（i）copying or distributing our learning videos or other materials or（ii）copying or distributing our technology，unless it released under open source licenses；（iii）using the word“InCareer”or our logos in any business name，email，or URL except agreed byus；
  8. Post anything that contains software viruses，worms，or any other harmful code；
  9. Reverse engineer，decompile，disassemble，decipher or otherwise attempt to derive the source code for the InCareer Services or any related technology that is not open source；
  10. Imply or state that you are affiliated with or endorsed byus without our express consent（e.g.，representing yourself asan accredited InCareer trainer）；
  11. Rent，lease，loan，trade，sell/re-sell or otherwise monetize the InCareer Services or related data or access to the same，without our consent；
  12. Deep-link to InCareer Services for any purpose other than to promote your profile on InCareer Services，without out our consent；
  13. 用户bots or other automated methods to access the InCareer Services，add or download contacts，send or redirect messages；
  14. 监听器服务’availability，performance or functionality for any competive purpose；
  15. Engage in“framing，”“mirroring，”or otherwise simulating the appearance or function of the InCareer Services；
  16. 跨行业服务或跨行业服务；
  17. Interfere with the operation of，or place an unreasonable load on，the InCareer Services（e.g.，spam，denial of service attack，viruses，gaming algorithms）；and/or
  18. 可移动的requirements ofLinkedIn’s Professional Community Policiesorany additional terms concerning a specific InCareer Services that are provided when you sign up for or start using such InCareer Services。

9.Intellectual Property Complaints Regarding Content and Information

Contact information for complaints about content and information provided by our Members。

  1. A physical signature of the person authorized to act on behalf of the owner of the copyright interest and a proof the authorized person’s identification；
  2. A description of the copyrighted work that you claim has been infringed；
  3. A description specifying the location on our website of the material that you claim is infring；
  4. Your email address and your mailing address and/or telephone number；
  5. A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner，its agent，or the law；and，and
  6. A statement by you that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf。
