Baidu Statistical Terms of Service

The terms of service (hereinafter referred to as "the Agreement") are entered into by and between Beijing Baidu Netcom Technology Co., Ltd. (hereinafter referred to as "Baidu") and you (hereinafter referred to as "you" or "users") to regulate your use of Baidu statistics (hereinafter referred to as "the Service"). As long as you click the "OK" button, complete the registration procedure or open and use the service ， It means that you have understood and agreed to this agreement, especially the terms of Baidu Statistics and your significant rights and interests marked in bold are known, understood and accepted, and agree to use them as the basis for determining the rights and obligations of both parties. If you do not agree to this agreement, please stop using this service immediately.

The content of this agreement includes the body of the agreement and various rules, notices, announcements, etc. (hereinafter collectively referred to as "rules") that Baidu has published or may publish in the future on this service. Baidu has the right to formulate and modify this Agreement and/or various rules in due time as required, and the changed agreements and rules will automatically come into force once notified or announced. If you do not agree with the relevant changes, please stop using the service immediately.

1、 Definition:

1. Baidu statistics: including tongji.baidu.com 、 mtj.baidu.com As well as services with statistics, analysis and other functions provided through data reports, APIs and other forms.

2. End user: refers to the user of your product (including but not limited to website, APP, etc.).

2、 Registration information and account number:

1. The ownership of Baidu account (i.e. Baidu user ID) belongs to Baidu. After you complete the registration application procedures, you will obtain the right to use Baidu account. You should provide timely, detailed and accurate personal data, and constantly update the registration data to meet the requirements of timely, detailed and accurate. All materials originally typed will be quoted as registration materials. If the registration information is untrue, you will bear all the responsibilities and consequences, and Baidu will not bear any responsibility.

two You should be fully responsible for all the results of your actions under your account (including but not limited to signing various agreements online, publishing information, purchasing, using products or services, and disclosing information).

three You should not transfer, sell or lend your account number or password to others. You shall bear the losses and consequences caused by your active disclosure of the account or by other people's attacks, fraud and other acts.

3、 Usage rules:

1. When using Baidu services, you must comply with the relevant laws and regulations of the People's Republic of China. You agree that you will not use this service for any illegal or improper activities, including but not limited to the following:

(1) Upload, display, post, disseminate or otherwise transmit information containing one of the following:

1) Opposing the basic principles set forth in the Constitution;

2) Endangering national security, divulging state secrets, subverting state power and undermining national unity;

3) Damage to national honor and interests;

4) Inciting national hatred, national discrimination and undermining national unity;

5) Those who undermine the state's religious policy and promote heresy and feudal superstition;

6) Spreading rumors, disturbing social order and undermining social stability;

7) Spreading obscenity, pornography, gambling, violence, murder, terror or abetting crime;

8) Insult or slander others and infringe upon their legal rights;

9) It contains false, harmful, coercive, infringing on others' privacy, harassment, infringement, slander, vulgarity, indecency, or other morally objectionable content;

10) Including other contents restricted or prohibited by Chinese laws, regulations, rules, regulations and any legally effective norms;

(2) Do not use the network service system for any illegal purpose;

(3) Do not use Baidu services to engage in the following activities:

1) Entering computer information network or using computer information network resources without permission;

2) Deleting, modifying or adding computer information network functions without permission;

3) Deleting, modifying or adding data and application programs stored, processed or transmitted in the computer information network without permission;

4) Intentionally making and spreading destructive programs such as computer viruses;

5) Other behaviors endangering the security of computer information network.

2. For any claim, demand or loss claimed by any third party, including reasonable attorney fees, which is caused or generated by your violation of this Agreement or the relevant service terms, you agree to compensate Baidu, its cooperative companies and affiliated companies and keep them free from damage. In this regard, Baidu has the right to take measures, including but not limited to suspension of use license, termination of service, restriction of use, recovery of Baidu account, and investigation of legal liability, depending on the nature of your behavior. Baidu has the right to reclaim its account for malicious registration of Baidu account or illegal activities, disturbance, harassment, deception, other users and other violations of this agreement by using Baidu account. At the same time, Baidu will assist in the investigation as required by the judicial department.

3. You shall not copy, copy, sell, resell or use for any other commercial purpose any part of this service or the use or acquisition of this service.

4. You must bear legal responsibility for your behavior in using Baidu services. The forms of your legal liability include but are not limited to: compensation for the infringed, and after Baidu first assumes the responsibility for administrative punishment or tort damages caused by your behavior, you should pay Baidu the same amount of compensation.

4、 Service content

1. You understand and agree that the signing or effectiveness of this agreement does not mean that you can use various services on Baidu statistical platform. The use of certain services may need to meet certain conditions and sign separate service terms. The specific terms and conditions are subject to the provisions of the service pages and/or offline contracts.

two Baidu Statistics has the right to change, suspend or terminate the service content. The services provided by Baidu Statistics include:

(1) Statistical analysis service

The statistical analysis service helps you understand how your end users use your products (including services, including but not limited to mobile application clients, mobile websites, application platforms, PC websites, sites and other terminals that Baidu Statistics confirms can provide services, the same below), and helps you analyze the performance of your products on different terminal devices.

(2) Flow Research Institute

Based on the data legally collected by Baidu statistical data service and the data obtained through other legal channels, we will build a huge Baidu statistical database through anonymization, aggregation, cleaning, calculation and other processing methods to provide you with general or group reports.

3. Non exclusive permission:

According to the terms and conditions of this agreement, Baidu grants you a revocable, non exclusive, non sublicense or sublicense limited license to use the services provided by Baidu Statistics. You must not (and you must not allow a third party to): (1) copy, modify, adapt, translate software or documents or create derivative works of software or documents in other ways; (2) Reverse engineer, decompile, disassemble or try to discover the source code of the software; (3) Rent, lease, sell, transfer or otherwise transfer the rights in or to software, documentation or service software or services; (4) Remove any proprietary right statement or label set on the software or service; (5) Use, publish, transmit or use any device, software or routine that interferes or attempts to interfere with the operation of services or software; Or (6) use the data marked as belonging to a third party in the service for purposes other than generating, viewing and downloading reports. You shall comply with all applicable laws and regulations when using and accessing documents, software, services and reports.

4. The services you use through Baidu Statistics are limited to your own use, and cannot be provided/transferred/licensed or used by a third person in any form.

5. If you upload data through Baidu statistical analysis service, you declare and guarantee that the source of the data you upload Baidu statistics is legal and does not infringe the legitimate rights and interests of others (including but not limited to the privacy of the end user). You have obtained sufficient and necessary authorization, consent and permission, and will not conflict with the agreement you signed with a third party or constitute an infringement of the rights of a third party; In order to further guarantee the content of this paragraph, if required by Baidu Statistics, you should provide relevant certificates, agreements or qualification certificates in a timely manner.

6. You understand and confirm that Baidu Statistics' review of the certificates, agreements or qualification certificates you submitted is only in form, which does not mean that Baidu Statistics has the obligation or ability to confirm your legal collection, disclosure or use of data, and you should consciously guarantee and comply with the commitments and guarantees in this article; Do not attack or steal or obtain data from any third party in Baidu statistics by any improper means;

7. If judicial authorities, administrative authorities or third-party obligees put forward reasonable reasons for suspected infringement of your data and notify Baidu Statistics to delete some or all of the data you have accessed, Baidu Statistics has the right to delete according to the requirements of judicial authorities, administrative authorities or third-party obligees, and does not need to bear liability for breach of contract.

eight Baidu Statistics does not have data backup function. You understand and agree that data backup is your obligation and responsibility, and Baidu Statistics is not responsible for the data backup work or results.

nine You agree that Baidu Statistics has the right to store the relevant data and information received, contacted, collected under this Agreement and obtained through the statistics or analysis of your products in Baidu Statistics and/or its affiliates' servers during the duration of this Agreement and after the termination or dissolution of this Agreement; And for whatever reason, you should not ask Baidu Statistics and/or its affiliates to delete or destroy relevant data information. Baidu Statistics promises to take reasonable technical measures, security strategies and security systems to prevent data leakage or data security risks in accordance with the prevailing industry standards.

5、 Privacy terms:

1. Baidu statistical service is only available to users in the mainland of the People's Republic of China. If you are located outside the mainland of the People's Republic of China, or if you use Baidu statistical services to provide products to end-users outside the mainland of the People's Republic of China, please ensure that your products meet the requirements of relevant laws and regulations.

2. If you integrate the service tools provided by Baidu Statistics into your own products or services or use the services provided by Baidu Statistics in any form, you promise:

(1) All applicable laws, policies and regulations regarding the collection of information from end-users will be complied with.

(2) It is necessary to disclose to the end users the use of Baidu Statistical Services in their products or services, and how Baidu Statistical collects and processes data. To fulfill the above obligations, you can provide a link to Baidu Statistical Privacy Policy at a prominent place in the product service agreement or privacy policy where you use Baidu Statistical Services【 https://tongji.baidu.com/web/help/article?id=330&type=0 】。

If you do not obtain the legal and effective authorization of the end user or do not disclose to the end user that you have used Baidu statistical services and obtained the authorization of the end user for Baidu statistical collection and use of user information, we provide you with control tools:

So that you can stop collecting personal data of this part of the end user. If you do not use this control tool, you need to ensure that its end users will not have any form of appeal, petition, complaint, etc. against us because we collect, use, and disclose their information in accordance with this privacy policy. If your end user suffers from any form of lawsuit, appeal and complaint due to the collection, use and disclosure of his/her information under this privacy policy, you will be responsible for comprehensively solving it; You will be responsible for giving us full compensation in case of corresponding losses.

six 、 Intellectual property and related rights and interests

1. Baidu Company reserves complete and indivisible ownership and intellectual property rights of the following contents and information:

(1) Baidu statistical software functions and all its elements, including but not limited to all content, data (including but not limited to analysis reports, industry reports, crowd labels, crowd portraits, etc., except those belonging to other people's data according to law), technology, software, code, user interface, trademark, logo and other business logos, as well as any derivative works related thereto;

(2) Any information and feedback related to the use of functions that you provide to Baidu Statistics.

2. Without Baidu's consent, the above materials shall not be directly or indirectly released, broadcast, rewritten or redistributed for broadcast or publishing purposes in any media, or used for any other commercial purposes. The above information or any part thereof can only be stored in a computer for private purposes. Baidu will not be legally and economically liable to the user or any third party in any form for the delay, inaccuracy, error and omission caused by the above materials or in the process of transmitting or submitting all or part of the above materials, or for any damages arising therefrom.

3. You are not allowed to reverse engineer, decompile or disassemble Baidu Statistic, or find its original code in other ways, or commit any act suspected of infringing copyright.

4. The intellectual property rights of the content contained in Baidu statistical services are protected by law, and no one may use or create related derivative works in any form without the written permission of Baidu, users or relevant obligees.

seven 、 Disclaimer

one Baidu statistical application software functions are not guaranteed (including but not limited to):

(1) This function is suitable for users' use requirements;

(2) This function is not interfered, timely, safe, reliable or error free, and any product, function or other material obtained by the user through this function meets the user's expectations;

(3) If you use any information obtained through this network, you shall bear the risk; You should take full responsibility for the damage to your computer network or loss of data caused by such use.

two Baidu will not bear any direct or indirect compensation for the loss of profits, business reputation, materials or other tangible or intangible losses caused by the following reasons:

(1) Use or inability to use this function;

(2) Any products, materials or services purchased or obtained through this function;

(3) Your information has been used or modified without authorization; And other matters related to this function.

three Any dispute or loss caused by your authorizing a third party (including third-party applications) to access/use its network shall be borne by you.

four Baidu Statistics will provide you with corresponding functions according to the function type you choose. You understand and agree that Baidu has the right to choose the object to provide functions or cooperate, and to decide the object and scope of function opening, data interface and relevant data disclosure, based on user experience or comprehensive factors such as Baidu statistical operation security, platform rule requirements and healthy development, And has the right to suspend or terminate the provision of this function to users with the following situations, including but not limited to:

(1) Violation of laws and regulations or this Agreement;

(2) Affecting user experience;

(3) There are potential safety hazards;

(4) Violate Baidu's statistical operation principles or other management requirements of Baidu.

five In view of the particularity of network services, you agree that Baidu has the right to change, interrupt or terminate some or all of its network services (including charging network services) at any time without prior notice. Baidu does not guarantee that network services will not be interrupted, nor does it guarantee the timeliness, security and accuracy of network services.

six Baidu needs to regularly or irregularly repair or maintain the platform or related equipment that provides network services. If network services (including charging network services) are interrupted within a reasonable time due to such circumstances, Baidu is not responsible for this. Baidu reserves the right to suspend any part of the service for maintenance, upgrading or other purposes without prior notice.

8、 Liability for breach of contract:

1. If you violate the agreement, Baidu Statistics Have the right to take one or more of the following measures according to the circumstances:

(1) Restrict and suspend your use of Baidu service statistics (including but not limited to directly offline some of its services, withdraw relevant resources, and restrict the operation of its account);

(2) Terminate your use of Baidu statistical service;

(3) Other processing measures deemed appropriate by Baidu statistics.

two If Baidu Statistics suffers any loss, claims from other users, any third party or punishment from any administrative department due to your violation of relevant laws and regulations or the provisions of this Agreement and relevant rules, you should fully compensate Baidu Statistics, other users or relevant third parties for their actual losses, including reasonable attorney fees.

9、 Others

1. Baidu reserves the right of final interpretation of this agreement to the extent permitted by law.

two This agreement is signed in Haidian District, Beijing, the People's Republic of China.

three The conclusion, execution, interpretation and dispute settlement of this Agreement shall be governed by Chinese laws and Chinese courts. In case of any dispute between both parties concerning the content or implementation of this Agreement, both parties shall try to settle it through friendly negotiation; If the negotiation fails, either party may bring a lawsuit to the people's court with jurisdiction in the place where this agreement is signed.

4. This agreement constitutes the entire agreement between both parties on the agreed matters of this agreement and other related matters. Except for the provisions of this agreement, no other rights are granted to the parties to this agreement.

5. You agree that if Baidu Company fails to execute or exercise any legal right or compensation contained in this Agreement (or Baidu Company is entitled to enjoy under any applicable law), it cannot be regarded as a formal and automatic waiver of Baidu Company's rights, and these rights or remedies are still effective for Baidu Company.

6. If any provision of this Agreement is completely or partially invalid or unenforceable for whatever reason, the remaining provisions of this Agreement shall remain valid and binding.
