Article 1 Baidu Translation is a product that Baidu provides language translation services to users.
Article 2 The ownership, operation and management rights of Baidu Translate belong to Baidu Company.
Chapter II Disclaimer
Article 3 Unless otherwise specified in the product or service, the basic principle of Baidu Translation is that the machine automatically learns from a large number of language materials and automatically generates translation results without any manual sorting and editing.
Article 4 Baidu Translate provides the translation results in a non manual way, and Baidu Company does not guarantee the correctness and legality of the translation results in any form, nor assume any legal responsibility. Super VIP users of document translation can edit the machine translation results and upload terms and corpora to intervene in the machine translation results. Baidu Translation is not responsible for the infringement, disputes and losses caused by the content modified and uploaded by users themselves, nor bear any legal liability.
Article 5 Baidu Translate automatically generates translation results according to the content entered by users, which does not represent Baidu's approval of the content or position of the content entered and the translation results.
Article 6 Baidu Translate only provides machine translation results based on the user's keyed in content, and is not responsible for the infringement, dispute and loss caused by the keyed in content and translation results, nor bear any legal liability.
Article 7 The user shall decide whether to use the function of editing the translation provided by the system to manually correct the translation results; Decide whether to import the corpus, and use the corpus management and intervention functions provided by the system to intervene the machine translation results.
Article 8 The "intelligent enhancement" function in Baidu Translation - Document translation function is based on the principle that the machine automatically adds the translation that the user voluntarily modifies manually to the translation memory, and enhances the translation model in real time through translation memory, which takes effect in subsequent machine translation. The translation results of intelligent enhancement are only effective for the user's account, and will not be shared with other accounts.
Article 9 The database of "intelligent terms" function in Baidu Translation - Document Translation function is provided by the third party "National Science and Technology Terminology Examination and Approval Committee". Any problems caused by the content and quality of the terms of "smart terms" have nothing to do with Baidu Translate. The content of intelligent terms is only for reference. If you decide to use them at your own discretion, Baidu will not bear any responsibility for any problems arising therefrom.
Article 10 You are fully aware of and guarantee that the content you upload and publish when Baidu Translate uses relevant functions enjoys legal rights and interests. If the content you publish has rights disputes or infringes the legal rights and interests of any third party, you shall bear all legal liabilities.
Article 11 Baidu respects and protects the personal privacy of all users who use Baidu, but Baidu hereby reminds users that the content you enter when using Baidu Translator will not be considered as your personal privacy data.
Article 12 Baidu promises to deal with and repair the problems that affect the normal operation of Baidu Translate due to system failure, but Baidu will not be responsible for the disputes and losses caused by users, nor bear any legal liability. In addition, Baidu reserves the right to suspend all or any part of the service for maintenance, upgrading or other purposes without prior notice.
Chapter III Service Fees
Article 13 Some services of Baidu Translation are provided free of charge. Article 14 Baidu may modify and change the charging standards and methods of charging services according to actual needs. Baidu will notify or announce on the corresponding service page before the aforementioned modification, change or charge. If you do not agree with the above modifications, changes or paid content, you should stop using the service.
Chapter IV Statement of Rights
Article 15 When users find that Baidu Translate infringes on their legitimate rights and interests, the obligee shall send a "notice of rights" to Baidu in advance. Baidu will take measures to remove or modify the relevant machine translation results according to Chinese laws and regulations and government normative documents, and feedback the results to the obligee. The right individual or unit must submit the right notice to Baidu in written communication. In order to enable Baidu Company to effectively handle the obligee's notice of rights, please use the following written forms:
1. Proof of ownership of trademark right, copyright and/or other rights that the obligee can exercise according to law for the content suspected of infringement;
2. Please fully and clearly describe the content that is suspected of infringing the legitimate rights and interests of the obligee, and please provide the infringing translation input content and translation results;
3. Please indicate that the translation result of the suspected infringement infringes the legitimate rights and interests of the obligee listed in Item 2;
4. Please provide the specific contact information of the obligee, including the true name, copy of ID card or passport (for natural persons), copy of unit registration certificate (for units), correspondence address, telephone number, fax and e-mail;
5. Please add the following statement on the authenticity of the notice content in the notice of rights:
(1) I am the legal owner of the content complained;
(2) The content related to Baidu Translation I reported infringes my corresponding legal rights and interests;
(3) I confirm that if the content of this notice of rights is not completely true, I will bear all legal liabilities arising therefrom.
6. Please add the following statement in the notice of rights:
"I guarantee that the information complained in this notice of rights is sufficient, true and accurate, and I am the legal obligee of the complained content" or "I guarantee that the information complained in this notice of rights is sufficient, true and accurate, and I have been authorized to exercise the rights and interests of the content listed in item 2."
7. Please sign the document. If you are a legally established institution or organization, please affix your official seal.

Article 16 If the statement of the notice of rights is untrue, the submitter of the notice of rights will bear all legal liabilities arising therefrom (including but not limited to compensation for various fees and attorney fees). If the above individuals or units are not sure whether Baidu Translate has violated their legitimate rights and interests, Baidu suggests that the individuals or units consult professionals first.
Chapter V Service Usage Specification
Article 17 In the process of using Baidu Translation Service, you promise:
a) All your behaviors (including but not limited to trading behavior and information release behavior) in Baidu Translation comply with the provisions and requirements of various national laws and regulations, the principle of good faith, without harming social public interests or violating public ethics, without harming the legitimate rights and interests of others, and without violating the rules and spirit of this agreement. If you violate the above commitments and cause any damage consequences, you should independently bear all legal liabilities in your own name, and Baidu Translation will not be responsible for this. If your violation of this paragraph causes adverse consequences to Baidu Translate, you shall compensate Baidu Translate for all losses.
b) It shall not impede the normal operation order of Baidu Translate, including but not limited to making improper or slanderous comments on other users or third-party service providers in the way of fabricating or distorting facts, and not making up, elevating or lowering the credit of other users or third-party service providers in an improper way.
c) Do not make any use of any data materials of Baidu Translate beyond the reasonable use scope of Baidu Translate, including but not limited to copying, disseminating or using the materials displayed on Baidu Translate in any other way without the prior written consent of Baidu Translate.
d) Do not limit, interfere with or destroy the normal operation of Baidu Translate or the various service activities conducted on Baidu Translate through any means.
e) Do not conduct any other behavior that may adversely affect the normal service of Baidu Translate or the normal use of other users.
Article 18 In the process of using the service, you understand and agree that:
a) Baidu Translation has the right to make a unilateral determination on whether you have violated the above commitments, and deal with or terminate the provision of services to you according to the applicable rules of the unilateral determination results, without notifying you in advance or obtaining your consent.
b) Based on the need to maintain transaction order and transaction security, Baidu Translate has the right to suspend relevant transaction activities, close relevant transaction orders and other operations according to its own situation.
c) Baidu Translate has the right to publicize your suspected violation of the Agreement, platform rules or relevant laws and regulations if it is confirmed by the legal documents in force by the national judicial or administrative authorities that you have violated the law or tort, or Baidu Translate believes that your behavior is suspected of violating the Agreement, platform rules or relevant laws and regulations according to its own judgment.
d) Baidu Translate has the right to unilaterally determine the nature of your behavior and whether it constitutes a violation of this Agreement or relevant rules, and take corresponding measures accordingly, with respect to your behavior on Baidu Translate and the behavior that you have not implemented on Baidu Translate but has had an impact on Baidu Translate and its users. If you have questions and objections about Baidu Translate's handling behavior, you should keep the evidence related to your behavior by yourself and bear the adverse consequences of not providing sufficient evidence.
e) If you are suspected of violating laws and regulations or this Agreement and causing damage to any third party, you should independently bear all legal liabilities in your own name and ensure that Baidu Translate will not suffer any losses as a result.
f) If you are suspected of violating laws and regulations or this Agreement and cause damage to Baidu Translator, or make Baidu Translator suffer claims from any third party, or be punished by any judicial department, administrative department or other regulatory authority, you should compensate Baidu Translator for all losses and reasonable expenses incurred.
Article 19 In the process of using the services provided by Baidu Translate, you understand and agree that Baidu Translate will not be liable for any loss caused to you due to the following circumstances, including but not limited to:
a) Use or failure to use the Services;
b) The third party uses your account or changes your data without approval;
c) Expenses or losses caused to you by any goods, samples, data or information you purchased or obtained through the service;
d) Your misunderstanding of the service;
e) Any other service related losses not caused by Baidu Translate.
Chapter VI Information Protection and Management
Article 20 Baidu Translation attaches great importance to protecting user information. In the process of using Baidu Translation Service, we will collect and use your personal information based on your needs. The General Principles of Baidu Privacy Policy are applicable to all products and services of Baidu Group. If there are any matters not covered in the agreement, the General Principles of Baidu Privacy Policy shall prevail. If there is any inconsistency between this agreement and the General Principles of Baidu Privacy Policy, the agreement shall prevail.
1. When you use Baidu Translate's document translation function and related functions, you need to register as a Baidu user first. You should ensure that your registered personal data is true and accurate, and that you should not have illegal or harmful information in your account name, avatar and other registration information. You shall be responsible for your account password and relevant information, and bear all legal consequences arising therefrom.
2. Baidu Translate will confirm your identity according to your Baidu account and password. If you have not registered your Baidu account, you need to register as a Baidu user first to use some of Baidu Translate's products and services. You may not transfer or authorize others to use your account in any form. You should properly protect your account and password, and take full responsibility for all the activities of the account (including but not limited to publishing information, clicking to agree online or submitting any agreement related to rules, online renewal agreement or purchasing goods).
3. You confirm that when you complete the registration procedure or actually use the service in other ways allowed by Baidu Translation, you should be a natural person, legal person or other organization with full capacity for civil rights and capacity for civil conduct. If you do not have the above-mentioned subject qualification, you and your guardian shall bear all consequences arising from the use of this service, and the platform has the right to cancel or permanently freeze your account, and claim corresponding losses from you and your guardian.
Article 21 You know and confirm that the text, pictures, videos, audio, data and other non personal information (including but not limited to anonymous consultation records, purchase records, express delivery records, etc.) provided and formed by you in the process of using Baidu translation services, other than personal information, belong to Baidu's exclusive property. Within the protection period specified by law, Baidu has the right to store, use, copy, revise, edit, publish, display, translate, distribute, sublicense such information or make derivative works exclusively, and incorporate the above information into other works in the form, media or technology known or developed in the future.
Article 22 Generally, you can browse and modify the information submitted by yourself, but for the sake of security and identity recognition, you may not be able to modify the identity information and other relevant information provided during registration.
Article 23 When using the services provided by Baidu Translate, you should update your user information, contact information and other information in a timely manner to make them authentic, complete and accurate. If there are reasonable reasons to believe that the information you provide is untrue, incomplete or wrong, Baidu Translate has the right to ask you or send a notice to request correction, and has the right to directly delete the corresponding information until it suspends, interrupts or terminates the provision of part or all of your services. Baidu Translate will not bear any responsibility for this, and you will bear any direct or indirect losses and adverse consequences arising therefrom.
Article 24 You understand and agree that Baidu Translate has the right to provide user information, transaction records and other information content provided by you in Baidu Translate according to the requirements of judicial departments, administrative departments and other regulatory agencies. If your use is suspected of infringing upon the legitimate rights and interests of others, Baidu Translate also has the right to provide the obligee with your necessary identity information on the basis of preliminary judgment on the suspected infringement and determination of its existence.
Article 25 When using Baidu Translator, you should promise to abide by laws and regulations, national interests, public order, social morality and information authenticity. You represent and warrant that the information provided and formed during your use of Baidu Translation Service does not contain the following contents, otherwise Baidu may delete or block the information provided and formed during your use of Baidu Translation Service according to law or in accordance with this Agreement, terminate your use of Baidu Translation Service and compensate Baidu for all losses arising therefrom:
a) Violation of the Constitution or laws and regulations;
b) Publicizing or implementing acts that endanger national sovereignty, national security, national secrets, national unity, national honor, national interests, national relations, national unity, social order, social stability, public order and good customs;
c) Publicizing or implementing acts that incite national hatred or discrimination, undermine national unity, undermine national religious policies, promote cults and feudal superstitions, spread rumors, disrupt social order, undermine social stability, insult, slander, obscene, pornographic, violent, terrorist, and abet crimes;
d) Publicizing or carrying out acts that contain false, harmful, coercive, infringing on others' privacy, harassment, infringement, slander, vulgarity, indecency or other morally repugnant content;
e) Publicize or provide information about illegal acts;
f) Publicizing or implementing acts that infringe upon the legitimate rights and interests of others, such as personal information right, privacy right, personal property, reputation right, portrait right, intellectual property right, trade secret right, etc;
g) Collect or store personal information about other users for acts or activities prohibited by laws and regulations or this Agreement;
h) There are viruses, trojans, crawlers and other malicious software and program codes that may damage, tamper with, delete or affect the normal operation of any system of Baidu Translate or unauthorized access to data and personal information of Baidu Translate and other users;
i) Other contents prohibited by laws and administrative regulations.
Chapter VII Service Change or Termination
Article 26 Baidu Translate has the right to suspend, interrupt or terminate all or part of the services provided to users under this Agreement without prior notice for any reason at its sole discretion, temporarily freeze or permanently freeze (cancel) the authority of your account in Baidu Translate, and does not have to bear any responsibility to users or any third party for this. The circumstances of terminating this Agreement and freezing account permissions include but are not limited to:
a) The main contents of the user information you provide do not have authenticity, integrity or validity;
b) Baidu Translator believes that you have violated laws and regulations or the rules or spirit of this Agreement;
c) You are suspected of using the service again directly or indirectly or in the name of others after Baidu Translate terminates providing you with the service;
d) When this agreement (including relevant rules) is changed, you express and notify Baidu Translator that you are unwilling to accept the modified agreement or relevant rules;
Article 27 After permanently freezing or canceling the account authority, Baidu Translator has the right to delete or otherwise deal with the relevant content and information of the account itself, without any responsibility to the user.
Article 28 You agree that after the termination of your contractual relationship with Baidu Translation operator, Baidu Translation still has the right to continue to save your user information and all transaction information during your use of the service. Baidu Translate can still claim rights from you according to this agreement if you have any illegal act or act in violation of this agreement and/or relevant rules during the use of the service.
Article 29 After Baidu Translation suspends, interrupts or terminates its service to you, your trading behavior before the suspension, interruption or termination of the service shall be handled according to the following principles:
a) If you have reached a contract with other users or third-party service providers before the service is suspended, interrupted or terminated, but the contract has not been actually performed, Baidu Translate has the right to delete the relevant information about the contract and its trading items;
b) If you have reached a contract with other users or third-party service providers and partially performed it before the service is suspended, interrupted or terminated, Baidu Translate has the right to unilaterally decide whether to delete the relevant information of the transaction, and has the right to notify your counterparty of the relevant situation when the service is suspended, interrupted or terminated.
c) You agree that you will independently bear any disputes, losses or increased costs arising from the above handling, and should ensure that Baidu Translate will not incur any losses or bear any costs.
Chapter VIII Intellectual Property and No License
Article 30 All content on Baidu translation, including but not limited to any words, data, images, articles, photos, images, illustrations, films, sound effects and other materials and materials (individually or collectively referred to as "content") may be protected in whole or in part by the copyright law, trademark law, other applicable laws and/or international conventions of the People's Republic of China and other countries. You acknowledge and agree that all corresponding intellectual property rights of all contents of Baidu Translate are the exclusive property of Baidu and/or its licensed or authorized third party or the third party service provider stationed by Baidu Translate (individually or collectively referred to as the "obligee"). Except for the licenses and rights expressly granted in this Agreement, this Agreement does not grant you any license or right under any intellectual property owned or controlled by the obligee by implication or otherwise.
Article 31 You promise that without our written permission:
a) Do not modify, publish, reprint, sell, copy, reverse engineer, reverse compile or disassemble any content of Baidu Translate in whole or in part, monitor through any robot, crawler or other programs or devices, and create derivative works, distribute, execute, present or use them in any way;
b) Baidu trademark shall not be displayed, used, applied for or registered in any country or region in any way, or handled in any other way, including but not limited to "Baidu", "Baidu Translation", "Baidu" and other words, designs, graphics and their components displayed on Baidu Translation (including applet or official website, etc.), And other logos, signs, product and service names displayed on Baidu Translate (including but not limited to small programs or official websites), nor shall you indicate to others in any country or region that you have the right to display, use, apply for or register, or deal with Baidu trademarks in any other way.
Chapter IX Supplementary Provisions
Article 32 Baidu has the right to revise this agreement from time to time, and the revised terms of the agreement will be published on the relevant service pages. We recommend that you review the latest terms of the agreement from time to time. You understand and agree that if you continue to use Baidu Translation products or services after the release of the revised version of the terms of this agreement, it is deemed that you agree to accept and be bound by the revised terms of this agreement.
Article 33 If any clause in this Agreement is completely or partially invalid or unenforceable for whatever reason, or violates any applicable law, both parties shall replace the invalid, illegal and unenforceable clause with a new clause closest to the intention of the clause. The remaining provisions of this Agreement shall remain valid and binding.
Article 34 Without Baidu's prior written consent, you may not transfer this Agreement and any rights and obligations under it to any third party. Baidu has the right to transfer all or part of its rights under this Agreement to the following parties at any time without your consent:
(1) Baidu's subsidiaries or related parties;
(2) The acquirer of Baidu's equity, business or assets; perhaps
(3) Baidu's successor in the M&A transaction.
Any transfer in violation of this Agreement is invalid.
Article 35 The headings listed in front of each clause of this Agreement are only for the purpose of helping you understand the main purpose of the clause, and do not affect or limit the meaning or interpretation of the clauses of this Agreement. In order to protect your own rights and interests, it is recommended that you carefully read the specific expressions of each clause.
Article 36 You agree that if the platform fails to implement or exercise any right or compensation specified in the law or this agreement, it cannot be regarded as the platform's waiver of such right or compensation, and these rights or remedies are still effective for the platform.
Article 37 You understand and agree that Baidu can send you any notice related to Baidu translation products or services through any of the following channels:
(1) Send general notice on this skill platform or Baidu official website;
(2) Send SMS notification or call you to the mobile phone number you provide;
(3) Send a written notice to the mailing address (if any) provided by you.
The above notice shall be deemed to have been delivered to you since the date of release or sending, and you understand and agree that you are obliged to check any of the above notices.
Article 38 To the extent permitted by law, the right of final interpretation of this agreement belongs to [Beijing Baidu Netcom Technology Co., Ltd.] and its affiliated companies.
Article 39 "Related party" in this agreement refers to: for any entity, it refers to the entity controlled or controlled by the entity or jointly controlled with the entity by a third party. The so-called "control" refers to holding more than 50% of the voting shares/interests of an entity or having the right to appoint more than half of the directors or members of other similar management organizations of the entity, or having the actual decision-making power or control power over the operation of the entity through agreement or other means.
