Dear company leaders

In order to promote the development of Baidu legal member product business, Baidu legal member product service providers are now openly introduced, and we sincerely invite partners who are willing and committed to developing Baidu legal member product business to jointly explore the market. Legal member product service providers authorized by Baidu will enjoy corresponding incentive policies for service providers.

I Description of Baidu legal member product service provider

one The service provider serves customers in the following regions: sales and services of legal members' products nationwide.

II Application conditions and submission materials of interested companies

one Service provider sign up requirement:

1) It is registered with the local market supervision administration, has independent legal personality, and is currently open or existing;

2) Registration time: ≥ 1 year;

3) Registered capital: ≥ 500000 yuan;

4) Office space and team situation: the service provider needs to have an actual office space in the registration area, a certain number of employees, and rich sales experience and online operation experience;

5) Security deposit: the service provider is able to pay the full security deposit;

6) Registration materials: The electronic version of the business license, the power of attorney of the contact person, the electronic version of the contact person's ID card, and the Registration Information Form (see the annex) within the validity period.

two Other precautions:

1) already get “ Companies with the qualification of "Baidu regional agent" shall not participate in the application;

2) If any of the decision makers, shareholders, major stakeholders or the ultimate beneficiaries of the registration company is a former employee or current employee of Baidu, a former employee or current employee of Baidu's former agents or current agents (including Baidu's various sales systems), or a former employee or current employee of a former service provider or current service provider, a declaration of conflict of interest shall be made to Baidu at the preliminary screening stage. Baidu has the right to cancel its service provider qualification if it fails to make declaration within the time limit;

3) If the applicant company or its related parties are Baidu's existing or historical agents (including Baidu's various sales systems), existing or historical service providers, they should declare conflicts of interest to Baidu at the preliminary screening stage. Baidu has the right to cancel its service provider qualification if it fails to make declaration within the time limit;

4) For other requirements of Baidu, please submit your corresponding information according to the Registration Information Form.

III Application time, process and other matters of interested companies

two Preliminary screening: Baidu will organize a unified preliminary screening check according to the submitted application materials after the registration deadline, and the application companies that meet Baidu's requirements will pass the preliminary screening.

three Due diligence: If the intended company passes the preliminary screening inspection, Baidu will organize due diligence on the intended company based on the preliminary screening results. Please refer to Baidu's subsequent notice for the arrangement and requirements of due diligence.

four matters needing attention:

1) Baidu's corresponding contact person and contact information shall be subject to the sender of this notification letter;

2) Your company confirms that the email (contact person) receiving this notification letter is the legal and effective agent entrusted by your company;

3) Your company shall ensure that the qualification conditions meet the relevant national regulations and Baidu requirements, and shall not apply in the name of others, forge or alter false materials such as enterprise certificates, or practice fraud in other ways. Your company shall not disclose specific details related to the introduction of this service provider to a third party. In case of violation of the above contents, our company has the right to investigate your responsibility in accordance with relevant laws and regulations, and will never cooperate with your company and its affiliates;

4) If your company fails to fulfill the relevant commitments in the Registration Information Form in the subsequent evaluation after cooperation with Baidu, we will reassess the feasibility of continuous cooperation with your company;

five Disqualification:

Baidu has the right to veto or cancel the company's candidacy or service provider qualification at any time in case of major problems found by the applicant company. Major problems include but are not limited to the following:

1) The non data information provided by the applicant company is inconsistent with the facts, or the data provided is ± 10% different from the actual situation;

2) Baidu has the right to eliminate its candidacy if it finds that there is obvious conflict and competition between the future planning of the application company and Baidu at any link;

3) Apply for Baidu's dismissal of employees by any of the company's decision makers, shareholders, major stakeholders or ultimate beneficiaries;

4) Any of the decision makers, shareholders, major stakeholders or ultimate beneficiaries of the registration company is a former employee or current employee of Baidu, a former employee or current employee of Baidu's agents or current agents (including Baidu's various sales systems), or a current employee, former employee or current employee of a former service provider or current service provider, and the registration company has failed to make a declaration within the specified time limit;

5) The registration company or its related parties are Baidu's existing or historical agents (including Baidu's various sales systems), existing or historical service providers, and the registration company has not made the declaration within the specified time limit;

6) The applicant company has major violations or major legal disputes;

six Items to be declared:

Baidu has the right to cancel its service provider qualification if the applicant fails to make timely declaration in the following circumstances:

1) If any of the decision makers, shareholders, major stakeholders or ultimate beneficiaries of the registration company are former or current employees of Baidu, former employees of Baidu agents or resigned employees, current employees of Baidu agents or resigned employees, they shall declare conflicts of interest to Baidu at the preliminary screening stage;

2) If the applicant company or its related parties are Baidu's existing or historical agents (including all sales systems, not limited to channels), they should declare conflicts of interest to Baidu at the preliminary screening stage.
