1、 Definition and interpretation

1. Baidu: refers to the unit that actually provides Baidu promotion services for customers.

2. Baidu website owner: www.baidu.com website and Baidu wap website are owned by Beijing Baidu Netcom Technology Co., Ltd., and Beijing Baidu Netcom Technology Co., Ltd. is the owner of Baidu website.

3. Customer: refers to the unit or individual that meets Baidu's promotion conditions, according to the conditions specified in this agreement, and has paid promotion fees to Baidu through its agent or directly, and uses "Baidu's promotion services".

4. Agent: refers to the service provider that has been recognized by Baidu and customers in advance and acts as the agent for customers to apply for Baidu promotion services and pay fees to Baidu.

5. Platform customers: if customers not only promote their own brands In addition, if it promotes third-party customers, products and services, or customer websites display a variety of businesses, brands, products, services and information, then customers are platform customers, such as e-commerce platforms, online supermarkets, portals, various vertical search engines, etc.

six "Baidu Promotion Services": refers to the information technology services that Baidu has opened and successively opened to customers, as well as the alliance websites or applications that Baidu provides technical support on www.baidu.com and Baidu wap websites The promotion services and other related derivative services, including but not limited to information technology services, advertising agency services and professional consulting services, to display customers' website information at the specific locations of platforms such as Ju Ping product terminals or other websites and other relevant pages agreed by both parties.

seven Advertising agency service refers to the service that Baidu entrusts the owner or partner of Baidu website with Internet advertising publishing qualification to publish the promotional materials submitted by customers. The service results are reflected in www.baidu.com website and Baidu wap website, the alliance website or application that Baidu provides technical support Commercial results with the words "advertising" displayed at specific locations on platforms such as Ju Ping product terminals or other websites agreed by both parties.

eight Information technology services refer to a series of information technology services provided by Baidu to customers relying on network technology, software systems or applications, in addition to advertising agency services, in order to improve the efficiency and quality of advertising display and release of customers and improve the advertising conversion rate It includes user demand data analysis, monitoring, integration, processing and corresponding data model creation, technical analysis of customer materials and user demand matching, resource allocation, material index and sorting strategy design, promotion result quality estimation, evaluation and adjustment, and other technical services.

9. The specific content of the web page is provided and uploaded by customers themselves. The content of cooperation between the customer and the service provider shall be subject to the agreement signed by both parties.

2、 Confirmation and acceptance of the agreement

1. 3、 Content of Baidu promotion service

1. Customers apply to Baidu for a Baidu promotion service management account, log in to Baidu promotion service management account according to the registered user name and password, and modify the registration information in the account, Register, modify or delete keywords and website promotion information, query the registered keyword click statistics report, expense statistics report, Baidu's promotion policies, etc.

2. The customer agrees to use a service provider recognized by Baidu to provide website building services, and use the url address generated by the service provider through website building services to promote Baidu.

three The website information promoted by customers will appear on www.baidu.com website after being set in the customer's Baidu promotion service management account and automatically filtered by the system (including Baidu search, Baidu encyclopedia, post bar, know and other self owned products of Baidu and its affiliated companies) and Baidu wap website Baidu provides relevant pages such as the alliance website or application program, the focus screen product terminal and other platforms that provide technical support, or other websites agreed by both parties. If a customer engages in the above behaviors, Baidu has the right to immediately shield and offline customers from the above violations, and has the right to immediately terminate this agreement without refunding the customer's "promotion fee" balance.

4. The billing method under this agreement is a comprehensive billing method based on click billing. All promotion pages participating in Baidu promotion services pointed to by all keywords registered by customers will be charged, Not just charge for the homepage of the customer promotion website. Baidu promotion service fees will be automatically deducted from Baidu promotion service management account.

5. The customer's payment of "promotion fee" does not guarantee that the keyword query information registered by the customer and the website promotion information registered by the customer will be successfully promoted in Baidu or displayed at a specific location or time.

6. After the "promotion fee" is consumed, the customer can choose whether to recharge or not within the effective period of this agreement. Baidu has the right to base on the promotion policy and reputation policy Decide at its own discretion whether to accept customer recharge and whether to stop providing promotion services to customers. If the customer chooses not to renew or Baidu decides not to accept the renewal, the cooperation between the two parties will be terminated.

7. When the balance in the customer's Baidu promotion service management account is not enough to pay for Baidu promotion service, the customer or its agent should recharge Baidu in a timely manner, Baidu will not bear any responsibility for the termination of Baidu's promotion service due to the customer's or its agent's failure to recharge in time, which results in the customer's promotion information being offline.

4、 Payment

1. The customer or its agent shall pay Baidu all the fees agreed in this agreement in a manner approved by Baidu within 3 working days after confirming this agreement.

2. If the customer or its agent fails to pay Baidu the fees agreed in this agreement on time, it will pay Baidu a late fee of 0.5% of the amount payable for each day overdue. If the overdue fee is more than 10 working days, this agreement will automatically terminate.

3. Baidu has the right to adjust the standard and payment method of "promotion fee" and/or "professional service fee" of "Baidu Promotion Service" at any time according to the actual situation, but the customer has paid before the adjustment( Whether paid by himself or his agent), the "promotion fee" and/or "professional service fee" of the year will not be affected.

5、 Baidu's rights and obligations

1. In order to perform this agreement, Baidu has the right to save customer information (including but not limited to customer registration information, consumption information, promotion website/webpage, netizen evaluation information, etc.) on Baidu and its affiliated companies' servers; Baidu has the right to use and disclose customer information to the outside world within the scope permitted by laws and regulations, including but not limited to the purpose of upgrading, sampling and updating Baidu's promotional service system, and protecting the rights and interests of Internet users Use or disclose customer information according to judicial and/or administrative requirements for the purpose of upgrading the Internet integrity environment.

2. Baidu does not guarantee and promise to any other third party the authenticity, legality, accuracy and integrity of the customer's web pages and information, and the customer is solely responsible for the content, products and services provided by its website.

3. If the qualification, registered keywords or other information submitted by the customer does not comply with the relevant laws and regulations, the agreement, or Baidu's relevant policies (including but not limited to the customer's registered website) before the online promotion If the customer does not have the legal qualification, does not have the special qualification to engage in its promotion industry, products and services, or the relevant information is suspected of breaking the law or infringing the legitimate rights and interests of a third party) and cannot pass Baidu's audit Baidu will refund the "professional service fee" and the first "promotion fee" charged to the customer after Baidu sends a written confirmation letter to terminate the "Baidu Promotion Service" and returns the corresponding invoice, original agreement and other documents as required by Baidu, This Agreement is terminated (unless otherwise agreed in this Agreement).

4. If the customer fails to pass Baidu's first certification or annual certification review, Baidu has the right to directly terminate this agreement without notice and return the balance of "promotion fee" that has not been consumed.

five Baidu promotion system will automatically filter keywords and website information registered by customers. Baidu has the right to adjust the automatic filtering standard of the system according to the adjustment of Chinese laws and regulations, orders of administrative law enforcement agencies and changes in social ethics, Have the right to refuse the keywords or website information registered by the customer according to the requirements of relevant laws and regulations and product policies or service functions, and the customer shall not use "keywords and The reason that website information was allowed to be promoted before requires Baidu to continue online promotion. If the customer's keywords or website information cannot be registered or promoted again due to the above reasons, If the keyword or website information is rejected or offline by Baidu, the customer has the right to notify Baidu to stop "Baidu promotion service", and Baidu will refund the balance of "promotion fee" that has not been consumed to the customer.

6. The customer (including but not limited to the customer website and the business engaged by the customer) shall not cause any actual or potential damage or conflict to the interests, goodwill and brand image of Baidu and its affiliated companies, Otherwise, Baidu has the right to notify customers to immediately terminate the "Baidu Promotion Service", not to return the balance of the "Promotion Fee" that has not been consumed, and Baidu does not have to bear other legal responsibilities and expense compensation.

8. If Baidu suffers from force majeure events (including government regulation, policy adjustment, terrorism, hacker attacks, natural disasters, labor conditions, power outages, technical adjustment of telecommunications departments, virus intrusion, etc.), Have the right to notify the customer to suspend or terminate the "Baidu Promotion Service", which shall not be deemed as breach of contract. If Baidu suspends the "Baidu Promotion Service", it shall continue to perform according to this agreement after the end of the impact of the force majeure event Its obligations; If Baidu terminates the "Baidu Promotion Service", it shall refund the balance of the "Promotion Fee" that has not been consumed by the customer.

9. Baidu reserves the right to make business or product adjustments to "Baidu Promotion Services" (including but not limited to customer qualification standards, certification standards, sales policies, presentation mechanisms, billing standards, etc.) After Baidu notifies the customer, the customer can choose to continue using the adjusted business or product, or terminate Baidu's promotion service and apply for refund of the "promotion fee" that has not been consumed Baidu does not have to bear other legal liabilities and expense compensation for the balance.

ten The customer agrees to abide by the evaluation criteria of Baidu's customer credit evaluation system (Credit 100). eleven Customers are obliged to manage their promotion accounts effectively by themselves or by entrusting their agents, After the promotion account is opened, the customer has not logged in, added money, applied for refund or generated any consumption or no account operation for more than 3 years, Account management fees will continue to be generated during the period on a monthly basis. Baidu has the right to settle in a lump sum in the month of more than three years, deduct the account management fees of customers during the above period, and deduct them every month Except that the amount is 5% of the account balance since the date when the customer has not logged in, added money, applied for refund or generated any consumption or no account operation, If the account balance cannot pay the subsequent monthly account management fee after 20 natural months, Baidu has the right to recover from the customer as the case may be. The customer agrees that the account management fee shall be directly deducted from the customer's account balance after Baidu calculates it by itself.

13. The customer knows and agrees that Baidu has the right to set the margin amount and deduction standard according to the industry classification standard, industry risk level and other comprehensive factors, and the customer can view the detailed rules in Baidu's background account.

fourteen In order to create a fair and transparent customer evaluation system and safeguard the right of netizens to know, Baidu has established a netizen evaluation mechanism. The evaluation content was edited and uploaded by netizens, The customer understands and agrees to tolerate and understand netizens' criticism and comments on product quality or service quality. The content evaluated by netizens only represents the personal views of the reviewer's publisher. Baidu's display and release of evaluation information does not mean that Baidu agrees with the view of the review or confirms its expression. Baidu does not guarantee the accuracy, integrity and reliability of the evaluation content, and all responsibilities arising from the authenticity and accuracy of the content caused by user evaluations are borne by users. 6、 Rights and obligations of customers

1. The customer guarantees that it is a legal business entity complying with the laws and regulations of the People's Republic of China and has obtained the legal qualification to operate related businesses. Baidu has the right to check the authenticity of its subject qualification, Baidu has the right to refuse to provide services to customers who refuse to check or Baidu has reason to suspect their authenticity and legitimacy. The customer guarantees to submit his true and effective bank account to Baidu for verification Public verification, otherwise Baidu has the right to terminate the promotion cooperation between both parties at any time without returning any fees to the customer.

2. The customer guarantees to provide qualification materials according to Baidu's requirements, apply for and accept Baidu's annual authenticity verification and review of qualification authenticity, and perform relevant procedures (including submitting qualification Documents, acceptance of qualification document review, payment of annual certification fee, acceptance of Baidu Authenticity Verification Technical Service Agreement), otherwise Baidu has the right to terminate the "Baidu Promotion Service" or based on reputation Policies restrict the location and time of promotion information display. three The customer shall be responsible for the security of the user name and password of the promotion account, shall not disclose the user name and password of the promotion account to anyone, and shall be fully responsible for all activities and events conducted with his user name. Without Baidu's written authorization, the customer shall not resell, lease or lend the service account opened for the customer by Baidu and the services and related resources that Baidu promises to provide to the customer under this agreement to any third party. If the customer violates this provision, Baidu will reserve the right to close the customer service account and terminate the service provided to the customer. At the same time, Baidu will not refund or partially refund the promotion fee paid to customers. If a customer entrusts Baidu employees to manage their accounts, all management operations shall be deemed as customer operations. If the customer does not raise an objection within one month, it shall be deemed that all operations are approved.

four In order to further improve the security of the promoted content and optimize the search experience of netizens, customers must use the website generated by the website building service to promote, and submit/modify the promoted content according to the policies of the website building service provider platform. If the customer does not agree to use the website generated by the website building service for promotion and does not meet the following quality conditions, please stop signing the contract, recharging, opening the promotion account and other behaviors, otherwise it will be deemed that the customer agrees to abide by this contract.

1) If the customer has the high quality situation of "low risk in the industry, no illegal promotion in previous cooperation, ownership of relevant intellectual property rights, etc.", he can apply to use the website provided by himself for promotion, and the specific application results are subject to Baidu's notice; If one or more high-quality situations change after the customer applies, Baidu has the right to require the customer to use the URL address generated by the website building service for promotion at any time according to the customer's situation, and the customer agrees to promote in accordance with Baidu's notification.

2) In order to improve the promotion effect, if the customer does not need to use the website building service for promotion at present, he can also actively choose to use the URL address generated by the website building service for promotion. The website building service requires the customer to sign a separate agreement with the website building service provider. Any dispute arising from the customer's use of the website building service product shall be resolved by the customer and the website building service provider, and has nothing to do with Baidu. In addition, due to the time required for site building services, material uploading and modification, the customer should reserve enough time in advance to ensure successful online promotion, and be responsible for the time and results of updating the promotion content.

6. If the customer is a platform customer, the customer is obliged to review the legality and compliance of various businesses, brands, products, services and information displayed on the website in accordance with relevant laws and regulations, The customer must ensure that the content of the platform does not have any infringement, violation of laws and regulations; Any dispute arising from the content of the customer's platform shall be resolved by the customer himself and bear all legal liabilities, If Baidu is adversely affected, both parties shall deal with it in accordance with this agreement.

7. The customer guarantees that the information promoted through Baidu (including Baidu Alliance website or application) links meets the requirements of all relevant laws and regulations, is true, accurate, timely, detailed and complete, And consistent with the relevant situation, we agree to accept Baidu's confirmation of matters related to the "Baidu Promotion Service" by phone, email or home visit.

8. The customer should guarantee the authenticity of its account and other financial information and keep consistent with the owner of the promotion website and the signing subject of the Baidu promotion service agreement. If the financial information provided by the customer is false Or the financial risk caused by inconsistency shall be borne by the customer, Baidu shall not bear any responsibility, and the customer shall compensate Baidu for any loss caused thereby.

9. The customer agrees to join the "Baidu Internet Users' Rights and Interests Protection Plan", and agrees to accept Baidu People's Mediation Committee to mediate disputes between the customer and Internet users (specific information about the plan, Please refer to www.baidu.com and http://baozhang.baidu.com/guarantee/ "Baidu netizen rights and interests protection plan" published on the website).

10. The website that has not been opened by the customer will not be able to use the "Baidu Promotion Service". The customer must ensure that the registered website is correct, the website or webpage can be accessed normally, and the information in the website The website service or other website functions can be used normally, and the customer agrees that Baidu promotion system will conduct connectivity test on the website registered by the customer from time to time Baidu has the right to temporarily suspend the service until the customer resumes normal access to the website, but the points caused by the customer's website or webpage cannot be accessed normally The customer shall bear the consequences such as charging. 11. 12. Baidu's promotion service only links to the customer's website, and all legal disputes arising from any business behavior of the customer shall be borne by the customer itself, which has nothing to do with Baidu.

thirteen Customers shall not maliciously click the promotion information of other Baidu promotion service customers in any way; Nor can you get "cheating" by maliciously setting your Baidu account Traffic (such as frequent budget adjustment, frequent account balance adjustment, etc.), otherwise Baidu has the right to charge according to the traffic actually obtained by customers. 14. The customer agrees to display the information of the website promoted by him on www.baidu.com (including Baidu Search, Baidu Encyclopedia, Post Bar, Know and other proprietary products of Baidu and its affiliated companies) and Baidu wap The specific location of the website, Baidu's technical support alliance website or application, the focus screen product terminal and other platforms or other websites agreed by both parties.

16. In case of force majeure, the customer has to terminate the "Baidu Promotion Service". After the customer or its agent provides Baidu with the written proof of force majeure issued by the local notary, Baidu can return the balance of "promotion fee" that has not been consumed to customers. If the customer requests to terminate the "Baidu Promotion Service" in the event of non force majeure, both parties can terminate this agreement after consensus, but no fees will be refunded.

17. If the customer violates any provision of this agreement, Baidu has the right to refuse to provide "Baidu promotion service" to the customer and terminate this agreement. The "promotion fee" paid by the customer or its agent And "professional service fees" are not refundable, and Baidu has the right to further investigate the legal responsibility of customers.

18. Before each recharge, the customer is obliged to carefully read and ensure full understanding of the then Baidu Promotion Service Agreement, and recharge after all the terms of this agreement are agreed, Each recharge by the customer will be deemed as having read and fully understood the latest version of this agreement and committed to abide by the agreement.

19. The customer is obliged to timely consult and follow Baidu's promotion policies, credit policies, system notices and the latest version of Baidu Promotion Service Agreement published in his account.

20. In case of any of the following circumstances, Baidu has the right to notify the customer to terminate the "Baidu Promotion Service". 7、 Settlement terms

1. Charging rules

1) Unless otherwise expressly agreed by both parties, the service will be paid in the mode of pre payment before launch, immediate settlement after launch and deduction of fees. There is no upper limit on the amount of advance payment for a single payment, and the minimum amount is determined and announced by Baidu.

2) The renewal of the promotion fee refers to the advance payment made by the customer after the first payment specified in the previous paragraph to ensure the continued use of Baidu's promotion services. There is no upper limit for each renewal amount, and the minimum amount is determined and announced by Baidu.

3) "Professional service fee": refers to the fee for purchasing professional consultation and monthly telephone return visit of Baidu promotion services provided by Baidu. Professional service fee is one thousand yuan only (In figures: RMB 1000, but Baidu has the right to adjust according to regional differences). Other value-added services not provided by Baidu and their fees (if any) shall be separately agreed by the customer and the service provider.

2. Refund rules

8、 Resolution of third-party complaints

1. The customer's promotion behavior violates the provisions of Baidu Promotion Service Agreement, resulting in Baidu being complained by a third party (including but not limited to the third party's accusation of Baidu infringement in the form of letters, media reports, etc To file a lawsuit against Baidu, report to the relevant competent authority and make Baidu subject to review or inquiry), Baidu has the right to send a letter on the keyword (including the combination of words containing the keyword), the promoted website Stop the "Baidu Promotion Service" for the keyword and/or website and/or choose to terminate the Baidu Promotion Service Agreement. 9、 Confidentiality responsibility

11、 Disclaimer

1. Baidu is not responsible for the following situations:

1) Baidu promotion service fails to register successfully without Baidu's intention or negligence;

2) The customer suffers losses due to the intention or negligence of the customer or its agent;

3) Due to Baidu's systematic testing, upgrading, updating and service sampling test of Baidu's promotion service system, it has an unavoidable impact on customers.

two If Baidu breaches its obligations under this Agreement and causes losses to customers, the maximum amount of liquidated damages and/or compensation shall be the "promotion fee" actually paid by customers for the last recharge of Baidu promotion account involved in Baidu before Baidu breaches the contract. 12、 Dispute resolution

1. The effectiveness, interpretation, execution, jurisdiction and dispute settlement of this Agreement shall be governed by the laws of the People's Republic of China.

If any provision of this Agreement is invalid or cannot be performed, all other provisions and provisions of this Agreement shall remain fully effective and shall not affect other provisions of this Agreement.
