More than six months after being investigated by the CSRC, on the evening of May 22, Chaozhuo Aviation Technology announced that the company had received the Notice of Administrative Punishment in Advance on the same day, because it was suspected that it had failed to truthfully disclose the deposit and actual use of the company's raised funds, and failed to timely disclose the information about the transfer of the company's bank deposits, The company and several relevant responsible persons will be fined, with a total amount of 4.1 million yuan to be fined 。

The suspected letter is untrue and not timely

In November of last year, the market heated up because of the "disappearance" of nearly 60 million yuan of bank deposits.

Based on the information disclosed at that time, in order to earn the high income promised by Sun, the intermediary, the company deposited the raised funds of 59.95 million yuan in a bank not in the company's daily business place at the end of March of that year. However, on October 9, the company found that the above-mentioned funds were no longer in the account and did not know the business behind the transfer of funds. After that, the company reported the case to the economic investigation department of public security and received a notice of filing.

On November 17 last year, the CSRC filed a case against Chaozhuo Hangke for its illegal and illegal acts such as changing the use of raised funds without authorization.

On May 22 this year, the Company received the Notice of Administrative Punishment in Advance issued by the CSRC. According to the notice, upon investigation, there are two main facts that Super Avionics and related personnel are suspected of violating laws and regulations.

First, it is suspected that it has not truthfully disclosed the deposit and actual use of the company's raised funds.

On August 16, 2023, Chaozhuo Aviation Technology released the Special Report on the Deposit and Actual Use of Raised Funds in the Half Year of 2023, which did not truthfully reflect the deposit and actual use of raised funds, specifically including: the subsidiary Shanghai Chaozhuo deposited 59.95 million yuan of "bank acceptance bill deposit" in China Merchants Bank Nanjing Chengbei Branch, Disclosed as "structured deposit" in Zhejiang Commercial Bank Wuhan Branch; Disclose the large amount deposit receipt of 10.11 million yuan from the subsidiary Neven Moore Luoyang Technology Co., Ltd. in Zhengzhou Branch of China Merchants Bank as the large amount deposit receipt in Wuhan Branch of China Zheshang Bank; Disclose the trust products of Tibet Trust Co., Ltd. purchased by Shanghai Chaozhuo for 20 million yuan as trust products in Wuhan Branch of Zhejiang Merchants Bank.

The second is suspected of failing to disclose the information about the transfer of the company's bank deposits in a timely manner.

On October 7, 2023, the deposit of 59.95 million yuan of Shanghai Chaozhuo was deducted from the account by China Merchants Bank Nanjing Chengbei Sub branch to pay for the due acceptance of bank acceptance bills. The transfer of the above bank deposits has led to major losses of the company, but it was not until November 4, 2023 that Excel Avionics released the Risk Advisory Announcement on the Transfer of Some Bank Deposits.

Super Avionics and several responsible persons were warned

Total fine 4.1 million yuan

Based on the facts, nature, circumstances and social harm degree of the illegal acts of the parties, the CSRC intends to decide:

1、 Give a warning to Chaozhuo Avionics and impose a fine of 1.5 million yuan;

2、 Li Guangping, the chairman and chief financial officer of the company at that time, Li Yihan, the general manager at that time, and Wang Shiwen, the secretary of the board of directors at that time were warned and fined 700000 yuan respectively;

3、 Jiang Qi, then the president of the enabling section of Super Avionics, the general manager of Super Avionics Investment and the general manager of Shanghai Super Avionics, was warned and fined 500000 yuan.

The total amount of the above fines is 4.1 million yuan.

In addition, according to the 2023 annual report of Excel Avionics, as of the date of approval of the financial report, the above-mentioned cases are still in the stage of public security investigation and have not been closed.

In addition, on December 8, 2023, the actual controllers of the company, Li Yihan, Li Guangping and Wang Chunxiao, advanced the transferred funds and promised to use the advanced funds of 59.95 million yuan to bear the company's losses. After the event investigation, if the company recovers all or part of the money from the relevant responsible party, the recovered money will be returned to the actual controller; The amount not recovered shall be borne by the actual controller, and the company does not need to bear the interest of the advanced funds.

According to the data, Chaozhuo Aviation Technology Co., Ltd. is one of the few domestic enterprises that have mastered the manufacturing technology of cold spraying solid additives and applied it industrially in the field of aircraft maintenance and remanufacturing, mainly engaged in customized additive manufacturing and airborne equipment maintenance.

In the first quarter of this year, the company achieved revenue of 86 million yuan, up 43% year on year; The net profit attributable to the parent company was 17 million yuan, down 20% year on year. As of the end of the reporting period, the total number of shareholders of the Company was 4647.

As of the closing of May 22, the company reported 23.91 yuan per share and its latest market value was 2.1 billion yuan.
