The functions of the Board of Directors shall not be increased. The Board of Directors is a business executive organ established in accordance with the Company's or the Articles of Association and composed of all directors in accordance with relevant laws, administrative regulations and policies.
According to Article 108 of the Company Law of the People's Republic of China, a joint stock limited company shall have a board of directors with five to nineteen members. The board of directors may include representatives of the staff and workers of the company. The staff representatives on the board of directors shall be democratically elected by the staff and workers of the company through the staff and workers' congress, the staff and workers' congress or other forms. The provisions of Article 45 of this Law on the term of office of the directors of a limited liability company shall apply to the directors of a joint stock limited company. The provisions of Article 46 of this Law on the functions and powers of the board of directors of a limited liability company shall apply to the board of directors of a joint stock limited company.
