1、 Meeting of the Board of Directors
According to the provisions of Articles 155 and 158 of the Articles of Association of Bank of Communications Co., Ltd., the 14th meeting (interim meeting) of the 10th Board of Directors of the Company was convened in writing and signed by Ren Deqi, Chairman of the Board. On May 14, 2024, the Company sent the Notice on Convening the 14th Meeting of the 10th Board of Directors of Bank of Communications Co., Ltd. and documents to all directors and supervisors by personal delivery or e-mail. The deadline for voting is May 17, 2024. 16 directors should participate in the voting at this meeting (Ren Deqi, Chairman of the Board of Directors, avoided voting), and 16 directors actually participated in the voting. The meeting was held in accordance with the Company Law of the People's Republic of China and other laws and regulations and the Articles of Association of Bank of Communications Co., Ltd.
2、 Deliberation of Board Meeting
The meeting reviewed and approved the Proposal on the President Ren Deqi's Acting as President. It was agreed that after Mr. Liu Jun resigned, the new President appointed by the Board of Directors would perform the President's duties on behalf of Ren Deqi before the date when the qualification of the new President was approved by the State Financial Supervision and Administration.
