Long term supply contract

Party A: hereinafter referred to as Party A)

Party B: (hereinafter referred to as Party B)

In order to seek common development, Party A and Party B, based on the principle of mutual benefit, have entered into this contract through friendly negotiation for mutual compliance. The contents are as follows:

1、 Special distribution period and region: Party B's special distribution period is from MM/DD/YYYY to MM/DD/YYYY.

2、 Variety, specification and price of supply: Party A's supply price is ex factory price (excluding tax). In case of any adjustment, Party A shall notify Party B in advance, and Party A must ensure that there is a reasonable basis for each price adjustment.

3、 Ordering and trading mode: Party B shall make a market demand plan in a timely manner, and place orders in the form of fax or in the factory. If the order is made by fax, it shall be sent to Party A three days in advance. Party A shall make a fax call, and the fax shall indicate the variety, specification and quantity. The fax shall come into force after the person in charge of Party B signs and seals for confirmation. The transaction mode of each batch of goods is delivery upon payment. Party A will arrange production after receiving the fax of Party B's remittance voucher. Under normal circumstances, the goods will be delivered within 3 days after the full payment is received. 4、 Transportation and acceptance of goods: Party A can handle the transportation of goods according to the place of arrival designated by Party B. When the payment for goods reaches the account in full, Party B shall prepare goods of more than ____0000 yuan each time, and the freight shall be borne by Party A__ __The freight below 10000 yuan shall be borne by Party B. Each time the freight shall be paid by Party B in advance and deducted from the next payment for goods. After receiving the goods from Party A, the customer shall conduct on-site acceptance, pick up the goods and sign and seal on the delivery note for confirmation. If the customer does not raise a written objection to the quantity and damage of the goods, Party A shall consider that Party B has received the goods without error, and shall immediately notify Party A to handle any abnormalities found.

5、 Matters not covered in the contract shall be settled by both parties through negotiation. Disputes arising from the performance of the contract shall be under the jurisdiction of the people's court where Party A is located.

6、 This contract is made in duplicate, with each party holding one copy, which shall come into force from the date when Party B's purchase money reaches Party A's account after being signed and sealed by both parties. If Party B fails to place an order with Party A within ten days after the signing of this contract, Party A may deem this contract to be invalid automatically.
