After negotiation, Party A and Party B reach this contract on the legal services provided by Party B to Party A.

Article 1 Service Content

Part I: Serve as the legal adviser of Party A:

Provide legal services for the whole process of the development of the company's ____________ project (hereinafter referred to as the project).

Part II: Scheme design and text production of Party A's project

1. Make all texts related to the development of this project, including but not limited to:

Loan (investment) contract, entrusted loan contract, fund trust series contract, etc; A series of house lease contracts;

2. Participate in the whole process of relevant judicial proceedings until the end of the execution procedure;

3. With the consent of Party A, participate in the work liaison and cooperation between the project and government departments;

4. According to Party A's work needs, assign lawyers to work on the project site;

5. Be responsible for training the legal knowledge of project participants;

Part III: The whole process of judicial procedures for handling disputes arising during the project implementation:

Including litigation and execution of first and second instance.

Article 2 Service personnel

2. Party B accepts the entrustment of Party A, and appoints lawyers ___________, ___________ and ___________ as the lawyers for this legal service (hereinafter referred to as "lawyers").

3. Party A agrees that Party B and the lawyer appointed by Party B may, if they deem it necessary, hand over part of the work of this service to Party B's assistants or other lawyers for assistance.

Article 3 Service Fees

1. Lawyer fees: Both parties agree that Party A shall pay the lawyer fees in the following ways.

Scheme II: basic charge+floating charge

① On the date of signing this contract, the basic lawyer fee of ___________ yuan shall be paid;

② The floating charge is the lawyer's fee related to Party A's sales and single litigation:

Sales related part: according to the statistical caliber of Party A, for each transaction, a lawyer's fee of ___________ yuan will be paid;

Litigation related part: for each case of first instance litigation, RMB ___________ will be paid within ___________ days after the litigation reaches the court; In case of a second instance, within ___________ days from the date of arrival of the lawsuit to the court, a total of ___________ yuan will be paid together with the first instance; In case of execution procedure, within _________ days from the date of arrival of the lawsuit to the court, the total amount paid together with the first instance is ______________ million yuan or the total amount paid together with the first and second instance is ______________ million yuan.

(1) Direct agency expenses (including but not limited to transportation, accommodation and other expenses);

(2) Indirect expenses incurred on behalf of others (including but not limited to entrusted audit, appraisal fees, notarization fees, filing fees, and other expenses for collecting evidence)

Article 4 Other special agreements

1. Party B's responsibilities:

Party B and lawyers shall keep Party A's business secrets confidential and shall not disclose the contents of this legal service project to a third party without Party A's consent.

The lawyer shall be diligent and dutiful, and maintain the best interests of Party A within the scope of this contract according to law.

The lawyer shall timely report the progress of this service to Party A.

2. Party A's responsibilities:

Cooperate honestly with Party B and lawyers, truthfully provide relevant information and evidence, and truthfully state relevant information.

In case of any change in the circumstances and facts related to this legal service, Party B and the lawyer shall be informed in a timely manner.

Without the consent of Party B and the lawyer, it is not allowed to inform any other third party of the contract scheme, fees and other information related to this legal service.

Designate a special person to be responsible for the work liaison with Party B and lawyers, and provide convenient conditions such as vehicles required for lawyer services.

Article 5 Effectiveness and Text

This contract shall come into force after being signed and sealed by both parties. This contract is in duplicate, one for each party.
