 <trans data-src="阿仪网会员服务协议">AINET Member Service Agreement</trans> <trans data-src="尊敬的企业（以下简称“甲方”），欢迎阅读阿仪网服务条款协议(下称"本协议")，本协议适用于杭州旺森科技有限公司（以下简称"乙方"）提供的“阿仪网”会员服务，请逐条仔细阅读以下各条款。">Dear enterprise (hereinafter referred to as "Party A"), welcome to read the terms of service agreement of AliCloud (hereinafter referred to as "the agreement"). This agreement is applicable to the membership service of AliCloud provided by Hangzhou Wangsen Technology Co., Ltd. (hereinafter referred to as "Party B"). Please read the following terms carefully one by one.</trans> <trans data-src="第一条：接受条款">Article 1: Acceptance Terms</trans> <trans data-src="1、 甲方必须完全同意乙方已经公布或将来可能公布在www.app17.com网站上的“阿仪网会员合约”所有服务条款，才能成为“阿仪网”的正式用户，并按照服务条款使用该服务。">1. Party A must fully agree to all the service terms of the "AliCloud Membership Agreement" that Party B has published or may publish in the future on www.app17.com, so as to become an official user of AliCloud, and use the service in accordance with the service terms.</trans> <trans data-src="2、甲方使用乙方“阿仪网”服务的行为将视为甲方对本合约全部内容的接受。">2. Party A's use of Party B's "AliCloud" service will be deemed as Party A's acceptance of all the contents of this contract.</trans> <trans data-src="3、乙方有权根据业务需要酌情修订“协议”，并以网站公告的形式进行更新，不再单独通知予甲方。">3. Party B has the right to amend the "Agreement" according to business needs and update it in the form of website announcement, without notifying Party A separately.</trans> <trans data-src="经修订的“协议”一经在阿仪网公布，即产生法律效力。">The revised "Agreement" will have legal effect once it is published on AII.</trans> <trans data-src="如甲方不同意相关修订，请甲方立即停止使用“阿仪网”服务。">If Party A does not agree with the relevant amendment, please stop using the "AINET" service immediately.</trans> <trans data-src="如甲方继续使用“阿仪网”服务，则将视为甲方已接受经修订的“协议”，当甲方与乙方发生争议时，应以最新的“协议”为准。">If Party A continues to use the "AINET" service, it will be deemed that Party A has accepted the revised "Agreement". In case of a dispute between Party A and Party B, the latest "Agreement" shall prevail.</trans> <trans data-src="第二条：注册">Article 2: Registration</trans> <trans data-src="1、服务使用对象 ">1. Service Usage Object</trans> <trans data-src="甲方在完成注册程序或以其他乙方允许的方式实际使用服务时，甲方应当是具备完全民事权利能力和与所从事的民事行为相适应的行为能力的自然人、法人或其他组织。">When Party A completes the registration procedure or actually uses the service in other ways permitted by Party B, Party A shall be a natural person, legal person or other organization with full capacity for civil rights and capacity for civil conduct.</trans> <trans data-src="若不具备前述主体资格，请勿使用服务，否则乙方有权注销（永久冻结）甲方的账户，并停止提供服务。">If you do not have the above subject qualification, please do not use the service, otherwise Party B has the right to cancel (permanently freeze) Party A's account and stop providing services.</trans> <trans data-src="2、注册义务">2. Obligation to register</trans> <trans data-src="如甲方注册成为”阿仪网”会员，代表甲方同意：">If Party A registers as a member of "AINET", it agrees on behalf of Party A:</trans> <trans data-src="(a) 根据注册页面填写信息的要求，提供甲方真实、准确、完整和反映当前情况的资料；">(a) According to the requirements of filling in information on the registration page, provide Party A with true, accurate, complete and current information;</trans> <trans data-src="(b) 维持并及时更新上述资料，使其保持真实、准确、完整和反映当前情况。">(b) Maintain and timely update the above information to make it true, accurate, complete and reflect the current situation.</trans> <trans data-src="倘若上述资料有任何不真实、不准确、不完整或不能反映当前情况的地方，乙方有权暂停或注销（永久冻结）甲方的账户，并停止提供服务，由此产生的任何损失由甲方完全承担。">If any of the above information is untrue, inaccurate, incomplete or unable to reflect the current situation, Party B has the right to suspend or cancel (permanently freeze) Party A's account and stop providing services, and any losses arising therefrom shall be fully borne by Party A.</trans> <trans data-src="第三条：会员类型">Article 3: Types of Members</trans> <trans data-src="1、免费">1. Free</trans> <trans data-src="免费客户是指的甲方在阿仪网注册普通会员、普通会员使用功能和发布信息的数量上有一定的限制。">Free customers mean that Party A has certain restrictions on the number of registered ordinary members, ordinary members' use of functions and information released on AliCloud.</trans> <trans data-src="2、收费">2. Fees</trans> <trans data-src="为了得到”阿仪网”提供的产品及服务，甲方须向乙方提交甲方公司的企业营业执照(或相应法律文件)复印件和参展申请表（可在线申请），乙方在收到证明甲方公司合法身份的文件及参展申请后，对甲方的参展资格进行审核。">In order to obtain the products and services provided by AliCloud, Party A must submit to Party B a copy of the business license (or corresponding legal documents) of Party A's company and the exhibition application form (which can be applied online). After receiving the documents proving the legal identity of Party A's company and the exhibition application, Party B will review Party A's participation qualification.</trans> <trans data-src="审核通过后，甲方需向乙方支付甲方所订展位的费用，一旦乙方收到及确认甲方支付的全额费用后，将确认甲方的正式资格，同时甲方的收费展台将正式开通。">After passing the review, Party A shall pay Party B the fees for the booth booked by Party A. Once Party B receives and confirms the full amount of fees paid by Party A, it will confirm Party A's official qualification, and Party A's toll booth will be officially opened.</trans> <trans data-src="第四条：权利与义务">Article 4: Rights and Obligations</trans> <trans data-src="1、乙方应维护网络的正常运行，若因必须的系统维护、升级测试、修理等原因，乙方有权在未经事先通知的情况下，暂停提供的服务或与此有关的内容，并不对因上述原因致使延误服务而引起的任何直接或间接的责任负责。">1. Party B shall maintain the normal operation of the network. In case of necessary system maintenance, upgrade test, repair and other reasons, Party B has the right to suspend the services provided or related content without prior notice, and shall not be responsible for any direct or indirect liability caused by the service delay caused by the above reasons.</trans> <trans data-src="2、乙方对甲方参展的所有内容有最终的确认权。">2. Party B has the final right to confirm all the contents of Party A's participation.</trans> <trans data-src="如果乙方认为甲方提供的内容中有违反中国法律规定或不妥当之处，有权拒绝为该部分内容提供技术服务或要求用户修改其内容。">If Party B believes that the content provided by Party A violates Chinese laws and regulations or is inappropriate, it has the right to refuse to provide technical services for such content or require users to modify its content.</trans> <trans data-src="3、允许乙方在甲方的展位中加入阿仪网的链接。">3. Party B is allowed to add a link to Alinet in Party A's booth.</trans> <trans data-src="4、在展位开通后，参展商后台有专门的用户投诉系统用于接收并处理甲方提出的问题和投诉。">4. After the booth is opened, the exhibitors have a special user complaint system in the background to receive and deal with the problems and complaints raised by Party A.</trans> <trans data-src="第五条：承诺与保证">Article 5: Commitment and Guarantee</trans> <trans data-src="1、甲方是依据中国法律合法成立并有效存在的公司的法人或授权代理人。">1. Party A is the legal person or authorized agent of a company legally established and validly existing in accordance with Chinese laws.</trans> <trans data-src="2、甲方拥有签订并履行本协议的全部权利或授权。">2. Party A has all the rights or authorization to sign and perform this Agreement.</trans> <trans data-src="3、甲方保证在阿仪网发布的内容、资料等不能含有任何违反国家有关法律、法规及中华人民共和国承认或加入的国际条约的内容，包括但不限于危害国家安全、淫秽色情、虚假、侮辱、诽谤、恐吓或骚扰、侵犯他人知识产权、">3. Party A guarantees that the content and materials published on AliCloud cannot contain any content that violates the relevant national laws and regulations and the international treaties recognized or acceded to by the People's Republic of China, including but not limited to endangering national security, obscenity and pornography, falsehood, insult, slander, intimidation or harassment, infringement of others' intellectual property rights</trans> <trans data-src="人身权或其他合法权益以及有违社会公序良俗的内容或指向这些内容的链接。">Personal rights or other legitimate rights and interests, as well as contents that violate social public order and good customs or links to these contents.</trans> <trans data-src="4、甲方保证提交的信息真实、准确、及时、详尽和完整并与相关情况一致。">4. Party A guarantees that the information submitted is true, accurate, timely, detailed and complete and consistent with the relevant situation.</trans> <trans data-src="5、甲方通过乙方“阿仪网”服务进行商务活动和/或其他活动所引起的一切法律纠纷、赔偿责任以及其他任何责任、义务等均与乙方无关。">5. All legal disputes, compensation liabilities and any other liabilities and obligations arising from Party A's business activities and/or other activities through Party B's "AliCloud" services are irrelevant to Party B.</trans> <trans data-src="6、乙方若发现任何非法使用“阿仪网”管理账号或存在安全漏洞的情况，应立即通知甲方。">6. If Party B finds any illegal use of the "AINET" management account or security loopholes, it shall immediately notify Party A.</trans> <trans data-src="7、如果乙方发现甲方的业务与乙方的业务存在直接竞争关系，乙方可立即终止本合同，甲方已支付的服务费用不予退还。">7. If Party B finds that Party A's business is directly competitive with Party B's business, Party B can immediately terminate this contract, and the service fees paid by Party A will not be refunded.</trans> <trans data-src="8、如甲方违反本合同规定的任何条款，乙方有权拒绝向甲方提供“阿仪网”服务，终止本合同，甲方已支付的服务费用不予退还并且甲方自行承担法律责任，同时乙方有进一步追究甲方法律责任的权利。">8. If Party A violates any of the provisions of this contract, Party B has the right to refuse to provide Party A with the "AINET" service and terminate this contract. The service fees paid by Party A will not be refunded and Party A will bear its own legal liability. At the same time, Party B has the right to further investigate Party A's legal liability.</trans> <trans data-src="第六条：所有权及其许可">Article 6: Ownership and license</trans> <trans data-src="1.甲方拥有自建并置于“阿仪网”中资料的所有权。">1. Party A has the ownership of the data built by itself and placed in the "AINET".</trans> <trans data-src="2.乙方拥有甲方上述权利的使用权及任何有关本网技术、服务的其它权利和资格，包括但不限于”阿仪网”的：专利权、商标权、版权及其它知识产权。">2. Party B has the right to use the above rights of Party A and any other rights and qualifications related to the technology and services of the website, including but not limited to patent rights, trademark rights, copyrights and other intellectual property rights of "AINET".</trans> <trans data-src="3.本合约的任何内容均不得视为乙方将其所有的或许可甲方使用的专利权及其它知识产权转让给甲方。">3. Nothing in this contract shall be deemed that Party B transfers its patent rights and other intellectual property rights owned or licensed to Party A to Party A.</trans> <trans data-src="除根据本协议条款使用本网的产品和服务外，不授予甲方其它任何权利。">Party A shall not be granted any other rights except to use the products and services of the website according to the terms of this agreement.</trans> <trans data-src="任何使用阿仪网的商号、商标及商业标识的行为必须事先得到乙方的书面许可。">Any use of AINET's trade name, trademark and commercial logo must be approved by Party B in writing in advance.</trans> <trans data-src="第七条：重要声明">Article 7: Important statements</trans> <trans data-src="乙方提供的服务在技术上存在一定的风险因素，即因某些技术上不能预见的问题或其他困难，有可能导致参展商某些数据损失或其他服务中断，因此，乙方对下述内容不作保证：">The services provided by Party B have certain technical risk factors, that is, some unforeseen technical problems or other difficulties may lead to some data loss or other service interruption of the exhibitors. Therefore, Party B does not guarantee the following:</trans> <trans data-src="(i)"服务"不会中断和不带任何错误；">(i) "Service" will not be interrupted and without any error;</trans> <trans data-src="(ii)通过使用"服务"而可能获取的结果将是完全准确或可信赖的；">(ii) the results that may be obtained through the use of the Services will be completely accurate or reliable;</trans> <trans data-src="(iii)甲方通过"服务"而购买或获取的任何产品、服务、资料或其他材料的质量将完全符合甲方的预期目的。">(iii) The quality of any products, services, materials or other materials purchased or obtained by Party A through the "service" will fully meet the expected purpose of Party A.</trans> <trans data-src="甲方需要考虑到上述风险因素并自行承担全部责任。">Party A needs to take into account the above risk factors and bear all responsibilities.</trans> <trans data-src="第八条：第三方投诉的解决">Article 8: Settlement of Third Party Complaints</trans> <trans data-src="1、 鉴于互联网服务具有的跨地域、新权益等特殊性，双方同意，若乙方接到第三方有依据地投诉，对甲方在”阿仪网”展示的产品产生疑义时， 乙方可以暂时撤销该产品在”阿仪网”展示的资格，同时通知甲方，直至甲方与第三方协商一致。 ">1. In view of the particularity of Internet services, such as cross region and new rights and interests, both parties agree that if Party B receives a ground-based complaint from a third party and has doubts about the products displayed by Party A on "AII", Party B can temporarily revoke the qualification of the products displayed on "AII", and notify Party A at the same time until Party A and the third party reach an agreement through consultation.</trans> <trans data-src="2、 因第三方投诉而造成乙方损失的（包括但不限于乙方依法必须支付给第三方的赔偿款），由甲方承担全部赔偿责任，乙方有权在甲方已支付款项中抵扣该部分款项。">2. In case of any loss of Party B caused by the complaint of a third party (including but not limited to the compensation that Party B must pay to the third party according to law), Party A shall bear all the liability for compensation, and Party B shall have the right to deduct this part of the payment from the amount already paid by Party A.</trans> <trans data-src="第九条：合约的修改和解释">Article 9: Amendment and Interpretation of the Contract</trans> <trans data-src="1、 乙方有权随时根据中华人民共和国有关法律、法规的变化、互联网的发展以及公司经营状况和经营策略的调整等修改本合约和“阿仪网”服务条款，此种情况下，乙方会按甲方注册信息中写明的联络方式通知甲方，甲方如需继续使用乙方“阿仪网”服务时，">1. Party B has the right to modify this contract and the service terms of AliCloud at any time according to the changes in relevant laws and regulations of the People's Republic of China, the development of the Internet, and the adjustment of the company's business status and business strategy. In this case, Party B will notify Party A according to the contact information specified in Party A's registration information. If Party A needs to continue using the service of AliCloud,</trans> <trans data-src="有必要对最新的“阿仪网”的合同和服务条款进行仔细阅读和重新确认，当发生有关争议时，以最新的服务合同和服务条款为准。">It is necessary to carefully read and reconfirm the latest "AliCloud" contract and service terms. In case of any dispute, the latest service contract and service terms shall prevail.</trans> <trans data-src="如果甲方不同意所改动的内容，甲方可以在获知该变更之日起 5 个工作日内主动取消“阿仪网”服务，并同时书面通知甲方；">If Party A does not agree with the changed content, Party A can actively cancel the "AINET" service within 5 working days after being informed of the change, and notify Party A in writing at the same time;</trans> <trans data-src="逾期未取消服务，继续使用“阿仪网”服务的，视为接受服务条款的改变。">If the service is not cancelled within the time limit, and the user continues to use the "AliCloud" service, it shall be deemed to accept the change of service terms.</trans> <trans data-src="2、 如发生合同条款与中华人民共和国法律相抵触时，则这些条款将完全按法律规定重新解释，而其它条款则依旧保持对乙方产生法律效力和影响。">2. In case of any conflict between the contract terms and the laws of the People's Republic of China, these terms will be completely reinterpreted in accordance with the laws, while other terms will still have legal effect and impact on Party B.</trans> <trans data-src="条款标题仅为方便参阅而设，并不以任何方式界定、限制、解释或描述该条款的范围或限度。">The clause headings are for convenience only and do not in any way define, limit, interpret or describe the scope or limits of the clause.</trans> <trans data-src="乙方未就甲方或其他人士的某项违约行为采取行动，并不表明乙方撤回就任何继后或类似的违约事件采取行动的权利。 ">Party B's failure to take action on a breach of contract by Party A or other persons does not mean that Party B withdraws its right to take action on any subsequent or similar breach.</trans> <trans data-src="本协议双方为各自独立的经济体，本合约不得解释为当事人之间存有合伙、合资、或代理关系。">The Parties hereto are independent economies, and this Agreement shall not be construed as a partnership, joint venture or agency relationship between the Parties.</trans> <trans data-src="3、 本合约条款和“阿仪网”服务条款发生变更时，乙方将以阿仪网平台公示方式提前通知甲方。">3. In case of any change in the terms of this contract and the service terms of "AINET", Party B will notify Party A in advance by means of AINET platform publicity.</trans> <trans data-src="第十条：服务期限">Article 10: Service Term</trans> <trans data-src="1、本服务的有效期限为：自展位正式开通之日至甲方所选择的服务期结束之日(包括法定节假日及公休日)；">1. The valid period of this service is: from the official opening date of the booth to the end of the service period selected by Party A (including legal holidays and public holidays);</trans> <trans data-src="2、如果由于甲方单方面原因提前中止/终止该协议，乙方不退还未履行部分的服务费。 ">2. If the agreement is terminated in advance due to unilateral reasons of Party A, Party B will not refund the service fee for the unperformed part.</trans> <trans data-src="第十一条： 法律适用">Article 11: Application of Law</trans> <trans data-src="本合约适用中华人民共和国法律。">This contract is governed by the laws of the People's Republic of China.</trans> <trans data-src="如与本合约有关的某一特定事项缺乏明确法律规定，则应参照通用的国际商业惯例和（或）行业惯例执行。">If a specific matter related to this contract lacks clear legal provisions, it shall be implemented with reference to the general international business practices and/or industry practices.</trans> <trans data-src="第十二条：不可抗力">Article 12: Force Majeure</trans> <trans data-src="对于因合理控制范围以外的原因，包括但不限于自然灾害、罢工或骚乱、物质短缺或定量配给、暴动、战争行为、政府行为、通讯或其他设施故障或严重伤亡事故等，致使服务延迟或未能履约，乙方不对甲方承担任何责任。 ">Party B shall not be liable to Party A for any delay or failure to perform the service due to reasons beyond its reasonable control, including but not limited to natural disasters, strikes or riots, material shortages or rationing, riots, acts of war, government acts, communications or other facilities failures or serious casualty accidents.</trans> <trans data-src="第十三条：免责条款">Article 13: Exceptions</trans> <trans data-src="1、 在本合约规定的范围内，对下列情形，乙方不承担任何责任：">1. Within the scope of this contract, Party B shall not bear any responsibility for the following circumstances:</trans> <trans data-src="1） 由于甲方的故意或过失导致甲方遭受损失的；">1) Party A suffers losses due to Party A's intention or negligence;</trans> <trans data-src="2） 因不可抗力导致乙方不能履行其义务的。">2) Party B is unable to perform its obligations due to force majeure.</trans> <trans data-src="2、 无论因何种原因导致乙方应当依法承担赔偿责任时，赔偿金的最高限额为甲方当年有关“阿仪网”服务实际支付的费用。">2. If Party B should be liable for compensation according to law for any reason, the maximum amount of compensation shall be the fees actually paid by Party A for the service of "AINET" that year.</trans> <trans data-src="第十四条：争议解决">Article 14: Dispute Resolution</trans> <trans data-src="1、 本合同的生效、解释、执行、管辖、争议的解决均适用中华人民共和国法律。">1. The effectiveness, interpretation, execution, jurisdiction and dispute settlement of this Contract shall be governed by the laws of the People's Republic of China.</trans> <trans data-src="2、 因本合约引起的或与本合约有关的任何争议，甲乙双方可友好协商解决；">2. Any dispute arising from or in connection with this contract can be settled by both parties through friendly negotiation;</trans> <trans data-src="协商不成，双方同意将争议提请北京仲裁委员会进行仲裁。">If the negotiation fails, both parties agree to submit the dispute to Beijing Arbitration Commission for arbitration.</trans> <trans data-src="仲裁裁决是终局的，对双方均有约束力。">The arbitral award is final and binding on both parties.</trans>
