The Secretary of Open Source Matters, Inc. is looking for a volunteer to assist him with the administrative tasks and recurring duties of the role.

The Secretary’s role

The Secretary is the official record-keeper of the Board.

This is a critical role to ensure the historical recording of official actions, and to ensure healthy transparency to the Board of Directors, Team Leads, the wider Community and the outside world.

Specific responsibilities are as follow:

  • Creation of meeting minutes
  • Distribution of meeting minutes
  • Recording of all votes
  • Prior experience with and knowledge of legal documents (articles, by-laws, IRS letters, etc.).
  • Is a signing officer on some documents.
  • Custodian of records.

Key responsibility for the Corporate Secretary is to ensure that the Board has the proper advice and resources for discharging its fiduciary duty under state law, and to ensure that the records of the Board's actions reflect that the Board has done so.

The function ranges from making sure new directors have training in the applicable state law duties, to advising the board when there are amendments to the state law or developments in case law, to partnering with business presenters to ensure the proper steps are followed for major matters

What is going to do the Assistant?

The Assistant to the Secretary is going to:

  • Support the Secretary in administrative works, like preparing meeting agendas, reports and documents.
  • Publish reports, news and documents as needed.
  • Support the Secretary in the Election preparation.

If you are precise, well-organized and time-efficient, you’re perfect for this role.

Please note that this is a volunteer-only position for a supporting role.

You’ll be required to dedicate at least 5 to 10 hours per week.

The selected candidate will be required to sign a Non-Disclosure Agreement (NDA) as they can be in touch with reserved information about the Project, its finances or its volunteers. Reserved information might include personal data that are subject to specific protection measures and requirements.

The selected individual will be enrolled in the organization as a Contributor of the Organization, without voting rights. The membership and the role of the Assistant to the Secretary would terminate automatically whenever the Secretary’s term would end, cease or be terminated.
